2. Both the Chairman and the Vice-Chairman shall be elected from among the representatives of the exporting Members or from among the representatives of the importing Members.

3. The votes of the importing Members shall be distributed as follows:

For each cocoa year, the votes of importing Members shall be distributed as follows: 100 shall be divided equally to the nearest whole vote for each Member.

The remaining votes shall be distributed on the basis of the percentage which the average of each importing Member's annual imports, in the preceding three cocoa years for which final figures are available in the Organization, represents in the total of the averages for all the importing Members.

3. The Chairman and Vice-Chairman of the Executive Committee, elected for each cocoa year by the Council, shall both be chosen from among the representatives of the exporting Members or from among the representatives of the importing Members.

4. An amendment shall enter into force 30 days after the depositary has received notifications of acceptance from members constituting a majority of the exporting members and accounting for at least 66 per cent of the votes of the exporting members, and from members constituting a majority of the importing Members and accounting for at least 66 per cent of the votes of the importing Members.
4- يبدأ نفاذ التعديل بعد 30 يوماً من استلام الوديع إخطارات القبول من أعضاء يشكلون أغلبية الأعضاء المصدرين ويمثلون ما لا يقل عن 66 في المائة من أصوات الأعضاء المستوردين.

(7) " Simple distributed majority vote " means a vote requiring more than half of the total votes of exporting members present and voting and more than half of the total votes of the importing Members present and voting counted separately.
(7) يقصد " بالتصويت بأغلبية بسيطة موزعة " تصويت يتطلب أكثر من نصف مجموع أصوات الأعضاء المصدرين الحاضرين والمصوتين وأكثر من نصف مجموع أصوات الأعضاء المستوردين الحاضرين والمصوتين، محسوبة كلا على حدة.

3. For each cocoa year, the votes of importing Members shall be distributed among all importing Members in proportion to the average volume of their respective imports of cocoa in the preceding three cocoa years for which data have been published by the Organization in its latest issue of the Quarterly Bulletin of Cocoa Statistics.
