32. A cardinal principle is that a secured creditor's rights in proceeds under an independent undertaking should be subject to the rights, under the law and practice governing independent undertakings, of the guarantor/issuer, confirmer or nominated person.
32- وثمة مبدأ أساسي هو أنه ينبغي أن تكون حقوق الدائن المضمون في العائدات بمقتضى تعهّد مستقل أدنى مرتبة من حقوق الكفيل/المصدر أو المثبت أو الشخص المسمّى، بمقتضى القانون والعرف اللذين يحكمان التعهّدات المستقلة.

The law should provide that a beneficiary may grant a security right in proceeds under an independent undertaking, even if the right to draw under the independent undertaking is itself not transferable under law and practice governing independent undertakings.
28- ينبغي أن ينص القانون على أنّه يجوز للمستفيد أن يمنح حقا ضمانيا في العائدات المتأتية بمقتضى تعهّد مستقل، حتى إذا كان الحق في السحب بمقتضى التعهّد المستقل غير قابل في حدّ ذاته للإحالة بمقتضى القانون والممارسة اللذين يحكمان التعهّدات المستقلة.

(a) A secured creditor's rights in proceeds under an independent undertaking are subject to the rights, under the law and practice governing independent undertakings, of the guarantor/issuer, confirmer or nominated person and of any other beneficiary named in the undertaking or to whom a transfer of drawing rights has been effected;
124- ينبغي أن ينص القانون على ما يلي: (أ) أن حقوق الدائن المضمون في العائدات بمقتضى تعهّد مستقل تخضع لما يكفله القانون والممارسة اللذان يحكمان التعهّدات المستقلة من حقوق للكفيل/المُصدر أو المثبت أو الشخص المسمّى وأي مستفيد آخر ذُكر اسمه في التعهّد أو أحيلت إليه حقوق السحب؛

35- وثمة مبدأ أساسي هو أنه ينبغي أن تكون حقوق الدائن المضمون في حق تحصيل العائدات بمقتضى تعهّد مستقل أدنى رهينة بحقوق الكفيل/المصدر أو المثبت أو الشخص المسمّى، بمقتضى القوانين أو الممارسات التي تحكم التعهّدات المستقلة.

The reason for this rule is that the usefulness of independent undertakings as a low-cost and efficient method for facilitating the flow of commerce would be compromised if the guarantor/issuer, confirmer or nominated person had to verify the background transaction by which the right was purportedly transferred and to which it had not consented.
وعلة هذه القاعدة هي أن فائدة التعهّدات المستقلة باعتبارها طريقة قليلة التكلفة وكفؤة لتسهيل تدفق التجارة ستتضرر إذا اضطر الكفيل/المصدر أو المثبت أو الشخص المسمّى إلى التحقق من المعاملة الخلفية التي يُزعم أن الحق أحيل من خلالها والتي لم يوافق عليها.

The law should provide that a beneficiary of an independent undertaking may create a security right in a right to receive the proceeds under an independent undertaking, even if the right to draw under the independent undertaking is itself not transferable under the law and practice governing independent undertakings.
27- ينبغي أن ينص القانون على جواز قيام المستفيد من تعهد مستقل بإنشاء حق ضماني في الحق في تقاضي عائدات بمقتضى تعهد مستقل ، حتى إذا لم يكن الحق في السحب بمقتضى التعهّد المستقل في حدّ ذاته قابلا للإحالة بمقتضى القانون والممارسة اللذين يحكمان التعهّدات المستقلة.

29. The entity should carry out its work with the support of an open network of partners, building upon the commitments provided by many member States and thus ensuring that regional and national centres have a strong role in their respective regions.
29- ويُفترض أن تضطلع الهيئة بعملها بدعم من شبكة مفتوحة من الشركاء، اعتمادا على التعهّدات المقدّمة من لدن العديد من الدول الأعضاء مما سيضمن أن تضطلع المراكز الإقليمية والوطنية بدور قوي كل داخل منطقته.

Concerted action was therefore needed to address those challenges, taking into account realities on the ground as well as the critical needs and priorities of individual countries and in line with the commitments made by the international community.
