4. Priority of a security right in a right to receive the proceeds under an independent undertaking

238. There are several practical reasons supporting the recommendation that the secured creditor should have a security right in the proceeds under an independent undertaking.
238- وتوجد عدة أسباب عملية تؤيد التوصية الداعية إلى أن يكون للدائن المضمون حق ضماني في العائدات المتأتية بمقتضى تعهّد مستقل.

(i) Acknowledged or consented to (however acknowledgement or consent is evidenced) the creation of a security right (whether denominated as an assignment or otherwise) in favour of the secured creditor in the proceeds under an independent undertaking; or
`1` إقرار أو قبول إنشاء حق ضماني (سواء أسُمّي إحالة أم غير ذلك) في العائدات المتأتية بمقتضى تعهد مستقل (أيا كان شكل إثبات ذلك الإقرار أو القبول) لصالح الدائن المضمون؛ أو

(b) If the personal or property right is an independent undertaking, the security right automatically extends to the proceeds under the independent undertaking but does not extend to the right to draw under the independent undertaking;
(ب) إذا كان الحق الشخصي أو حق الملكية تعهّدا مستقلا، يمتدّ الحق الضماني تلقائيا إلى العائدات المتأتية بمقتضى التعهّد المستقل، ولكن لا يمتد إلى الحق في السحب بموجب ذلك التعهّد المستقل؛

In the case of certain types of intangible asset, such as the right to receive the proceeds under an independent undertaking, some States provide that control may be the exclusive method for achieving third-party effectiveness.
40- وفي حالة أنواع معيّنة من الموجودات غير الملموسة، مثل الحق في تقاضي العائدات المتأتية بمقتضى تعهّد مستقل، تنص بعض الدول على أنه يجوز أن تكون السيطرة هي الوسيلة الحصرية لتحقيق النفاذ تجاه الأطراف الثالثة.

As already mentioned (see chapter V on the effectiveness of a security right against third parties), a security right in a right to receive the proceeds under an independent undertaking is made effective against third parties only by control.
وكما سبقت الإشارة إلى ذلك (انظر الفصل الخامس بشأن نفاذ الحق الضماني تجاه الأطراف الثالثة)، فإن الحق الضماني في الحق في تحصيل العائدات المتأتية بمقتضى تعهّد مستقل لا يصبح نافذا تجاه الأطراف الثالثة إلا بالسيطرة.

237. Where the receivable, negotiable instrument or other intangible asset is secured by an independent undertaking, the secured creditor's security right does not extend to the right to draw under the independent undertaking, but rather extends only to the proceeds under an independent undertaking (see A/CN.9/631, recommendation 26, subpara. (b)).
237- وعندما يكون المستحق أو الصك القابل للتداول أو الموجودات الأخرى غير الملموسة مضمونة بتعهّد مستقل، فإنّ الحق الضماني للدائن المضمون لا يمتد إلى الحق في السحب بمقتضى التعهد المستقل، بل يمتد فحسب إلى العائدات المتأتية بمقتضى هذا التعهد (انظر الفقرة الفرعية (ب) من التوصية 26 في الوثيقة A/CN.9/631).

Normally, in the rare case of a priority contest between the holder of a security right in a right to receive the proceeds under an independent undertaking that has been made effective by control and a security right made effective against third parties by reason of the fact that it secures payment of a receivable, negotiable instrument or other intangible asset, the former will prevail (see recommendations 48 and 104).
167- وفي الحالة النادرة التي ينشأ فيها تنازع على الأولوية بين حائز الحق الضماني في الحق في تحصيل العائدات المتأتية بمقتضى تعهّد مستقل الذي يصبح نافذا بالسيطرة، والحق الضماني الذي أصبح نافذا تجاه الأطراف الثالثة بسبب أنه يضمن سداد مستحقات أو صكوكا قابلة للتداول أو موجودات ملموسة أخرى، تكون الأسبقية عادةً للحق الأول (انظر التوصيتين 48 و104).

(a) Security rights in all types of movable asset, tangible or intangible, present or future, including inventory, equipment and other tangible assets, contractual and non-contractual receivables, contractual non-monetary claims, negotiable instruments, negotiable documents, rights to payment of funds credited to a bank account, rights to receive the proceeds under an independent undertaking, and intellectual property;
