Under recommendation 138, all priority conflicts are subject to the law chosen by a guarantor/issuer, confirmer or nominated person or, in the absence of a choice of law, to the law of the relevant branch or office.
وتنص التوصية 138 على أن جميع التنازعات في الأولوية تخضع للقانون الذي يختاره الكفيل/المُصدر أو المُثبت أو الشخص المسمّى أو قانون الفرع أو المكتب ذي الصلة في حال عدم اختيار أي قانون.

However, enforcement does not permit the secured creditor to demand payment from the guarantor/issuer, confirmer or nominated person (see A/CN.9/631, recommendation 28).
غير أن الإنفاذ لا يسمح للدائن المضمون بأن يطالب بالسداد من الكفيل/المُصدر أو المُثبت أو الشخص المسمّى (انظر التوصية ۲٨ في الوثيقة A/CN.9/631).

The law should provide that, if a secured creditor obtains control by becoming an acknowledged assignee of the proceeds under an independent undertaking, the secured creditor has the right to enforce the acknowledgement against the guarantor/issuer, confirmer or nominated person that made the acknowledgement.
126- ينبغي أن ينص القانون على أنه إذا حصل الدائن المضمون على السيطرة بأن أصبح شخصا معترفا به كمحال إليه فيما يتعلق بتلك العائدات بمقتضى تعهّد مستقل، كان من حقه إنفاذ الاعتراف تجاه الكفيل/المُصدر أو المُثبت أو الشخص المسمّى الذي قام بالاعتراف.

(a) The rights and duties of the guarantor/issuer, confirmer or nominated person that has received a request for an acknowledgement or that has or may pay or otherwise give value under an independent undertaking;

25 مكررا ثالثا- ينبغي أن ينص القانون على أنه إذا حصل الدائن المضمون على السيطرة فيما يتعلق بالعائدات بمقتضى تعهد مستقل لأنه أصبح شخصا معترفا به كمحال إليه فيما يتعلق بتلك العائدات، كان من حقه إنفاذ الاعتراف تجاه الكفيل/المُصدر أو المُثبت أو الشخص المسمّى الذي قام بالاعتراف.

(a) A secured creditor's right in the right to receive the proceeds under an independent undertaking is subject to the rights, under the law and practice governing independent undertakings, of a guarantor/issuer, confirmer or nominated person and of any other beneficiary named in the undertaking or to whom a transfer of the right to draw has been effected;
124- ينبغي أن ينص القانون على ما يلي: (أ) أن حق الدائن المضمون في حق تقاضي عائدات متأتية بمقتضى تعهّد مستقل يخضع لما يكفله القانون والممارسة اللذان يحكمان التعهّدات المستقلة من حقوق للكفيل/المُصدر أو المُثبت أو الشخص المسمّى وأي مستفيد آخر ذُكر اسمه في التعهّد أو أحيل إليه الحق في السحب؛

(b) If the applicable law is not determined under the preceding paragraph, the applicable law is the law of the State of the location of the branch or office of the guarantor/issuer, confirmer or nominated person indicated in the independent undertaking of the guarantor/issuer, confirmer or nominated person.
(ب) إذا لم يحدَّد القانون المنطبق بمقتضى الفقرة السابقة، فيكون القانونُ المنطبق هو قانونَ الدولة التي يقع فيها فرع الكفيل/المُصدر أو المُثبت أو الشخص المسمّى أو مكتبه المذكور في التعهد المستقل الصادر عن الكفيل/المُصدر أو المُثبت أو الشخص المسمّى.
