Further work on security rights in intellectual property should clarify that intellectual property owners have the right to decide which third parties may use the intellectual property and the conditions for so doing.

15. Future work on security rights in intellectual property

67. Any future work on security rights in intellectual property would need to include a discussion of the rights and obligations of third parties such as the licensor in a situation where the licensee has created a security right in its licence.

Moreover, in order to provide guidance to States in that regard, the Commission requested the Secretariat to prepare, in cooperation with other organizations and in particular the World Intellectual Property Organization (WIPO), a note discussing future work by the Commission on security rights in intellectual property.

The Commission may wish to entrust to Working Group VI the preparation of an asset-specific text on security rights in intellectual property that would usefully supplement the work of the Commission on the draft guide by providing specific guidance with respect to security rights in intellectual property.

The Guide is based on the assumption that, in order to facilitate access to financing based on intellectual property, States enacting the recommendations of the Guide will include rules on security rights in intellectual property in their modern secured transactions regime.
