Article 13. Agreements limiting the assignor's right to assign
المادة ٣١ - الاتفاقات التي تقيد حق المحيل في الاحالة

The draft Convention avoids any other limitation to the assignor's right to transfer future receivables, since it does not give priority to one creditor over another, but leaves matters of priority to national law.
ويتفادى مشروع الاتفاقية فرض أي قيد آخر على حق المحيل في نقل المستحقات الآجلة، لأنه لا يعطي أولوية لأحد الدائنين على الآخر بل يترك مسائل الأولوية للقانون الوطني.

3. Notwithstanding paragraphs 1 and 2 of this article, defences and rights of set-off that the debtor may raise pursuant to article 9 or 10 against the assignor for breach of an agreement limiting in any way the assignor's right to make the assignment are not available to the debtor against the assignee.
3 - بصرف النظر عن أحكام الفقرتين 1 و 2 من هذه المادة، لا تكون الدفوع وحقوق المقاصة التي يجوز للمدين أن يتمسك بها تجاه المحيل بمقتضى المادة 9 أو 10، بسبب الإخلال بأي اتفاق يقيّد بأي شكل من الأشكال حق المحيل في إجراء الإحالة، متاحة للمدين تجاه المحال إليه.

2. A right securing payment of the assigned receivable is transferred under paragraph 1 of this article notwithstanding any agreement between the assignor and the debtor or other person granting that right, limiting in any way the assignor's right to assign the receivable or the right securing payment of the assigned receivable.
2 - أي حق ضامن لتسديد المستحق المحال يُنقل بمقتضى الفقرة 1 من هذه المادة، وبصرف النظر عن أي اتفاق بين المحيل والمدين أو شخص آخر يمنح ذلك الحق ويقيد بأي شكل من الأشكال حق المحيل في إحالة المستحق أو الحق الذي يضمن تسديد المستحق المحال.

2. A right securing payment of the assigned receivable is transferred under paragraph 1 of this article notwithstanding any agreement between the assignor and the debtor or other person granting that right, limiting in any way the assignor's right to assign the receivable or the right securing payment of the assigned receivable.
2- أي حق يضمن تسديد المستحق المحال يُنقل، بمقتضى الفقرة 1 من هذه المادة، بصرف النظر عن أي اتفاق بين المحيل والمدين، أو شخص آخر يمنح ذلك الحق، يقيد بأي شكل من الأشكال حق المحيل في إحالة المستحق أو الحق الذي يضمن تسديد المستحق المحال.

21. As a general rule, the assignor's right to receive payment from the debtor of the receivable arises because the assignor has performed the obligation for which payment is to be made (e.g. the sale of a vehicle, the performance of a service).
21- وكقاعدة عامة، ينشأ حق المحيل في تلقي السداد من المدين بالمستحق لأن المحيل أدى الالتزام الذي أجري السداد من أجله (مثلا، بيع سيارة وأداء خدمة).

“[(3) A receivable assigned by the assignee to a subsequent assignee is transferred notwithstanding any agreement limiting in any way the assignor's right to assign its receivables.
" ])٣( ينقل أي مستحق أحاله المحال اليه الى محال اليه لاحق على الرغم من وجود أي اتفاق يحد ، بأية طريقة ، من حق المحيل في احالة مستحقاته .

" (1) A receivable is transferred to the assignee notwithstanding any agreement between the assignor and the debtor limiting in any way the assignor's right to assign its receivables.
" )١( يكون المستحق منقولا الى المحال اليه بصرف النظر عن أي اتفاق بين المحيل والمدين يقيد بأي شكل من اﻷشكال حق المحيل في احالة مستحقاته .

" (2) Nothing in this article affects any obligation or liability of the assignor to the debtor in respect of an assignment made in breach of an agreement limiting in any way the assignor's right to assign its receivables, but the assignee is not liable to the debtor for such a breach. "
" )٢( لا تمس هذه المادة أي التزام أو مسؤولية من جانب المحيل تجاه المدين فيما يتعلق باحالة أجريت اخلالا باتفاق يقيد بأي طريقة حق المحيل في احالة مستحقاته ، لكن المحال اليه ليس مسؤولا تجاه المدين عن هذا الاخلال . "

" )٣( بالرغم من الفقرتين )١( و )٢( فان الدفوع والحقوق في المقاصة ، التي كان يمكن للمدير أن يقيمها عملا بالمادة ٢١ تجاه المحيل بشأن الاخلال باتفاقات تقيّد بأي طريقة حق المحيل في احالة مستحقاته ، لا تكون متاحة للمدين تجاه المحال اليه " .

(a) An assignment of a receivable is effective as between the assignor and the assignee and as against the debtor of the receivable notwithstanding an agreement between the initial or any subsequent assignor and the debtor of the receivable or any subsequent assignee limiting in any way the assignor's right to assign its receivables;
(أ) تكون إحالة المستحقات نافذة بين المحيل والمحال إليه وتجاه المدين بالمستحق بصرف النظر عن وجود اتفاق بين المحيل الأول أو أي محيل لاحق والمدين بالمستحق أو أي محال إليه لاحق يحدُّ بأي شكل من الأشكال من حق المحيل في إحالة مستحقاته؛

" (2) Without prejudice to the rights of parties in possession of the goods, a right securing payment of the assigned receivables is transferred to the assignee, notwithstanding any agreement between the assignor and the debtor, or the person granting the security right, limiting in any way the assignor's right to assign such a security right.
" )٢( دون مساس بحقوق اﻷطراف التي توجد السلع في حوزتها ، يكون الحق الذي يضمن سداد المستحقات المحالة منقولا الى المحال اليه ، على الرغم من وجود أي اتفاق بين المحيل والمدين ، أو الشخص الذي يمنح الحق الضماني ، يقيد بأي شكل من اﻷشكال حق المحيل في احالة هذا الحق الضماني .

(3) Notwithstanding paragraphs (1) and (2), defences and rights of set-off that the debtor could raise pursuant to article 12 against the assignor for breach of agreements limiting in any way the assignor's right to assign its receivables are not available to the debtor against the assignee.

In that connection, it was observed that the right of the assignor to offer to different lenders different parts of the receivables was at the heart of important financing practices and should be preserved.
وفي ذلك الصدد ، لوحظ أن حق المحيل في منح مقرضين مختلفين أجزاء مختلفة من الحقوق يعد من صميم الممارسات المالية المهمة ، وأنه ينبغي الحفاظ عليه .
