Although many States now permit creditors to take over the management of a business for the purposes of gradually liquidating its inventory and equipment, the Guide does not make a formal recommendation on this point.

If the term " legislative " was understood to mean all the written law of a legal system, the Guide could include recommendations of a regulatory nature that applied to subsidiary regulatory bodies; however, particularly in the light of the Spanish equivalent of " legal provisions " contained in paragraph 64 ( " las normas de rango legal " ), a hierarchy of regulatory provisions must be established.

If, however, intellectual property law required registration of an assignment as a condition for the creation of a security right in an intellectual property right, the Guide would defer to that law (see recommendation 4, subparagraph (b)).

As this matter is beyond the scope of secured transactions law and, in any case, would require additional effort and expense by States, the Guide does not recommend that States that currently do not have a specialized registry for certain types of intellectual property create such a registry in order to permit the registration of a document or notice of a security right in intellectual property.

Thus, to the extent that other conflict-of-laws rules refer issues of transferability of intellectual property rights, for example, to the law of the State in which the intellectual property is protected (lex loci protectionis or lex protectionis), the Guide does not affect them.
