3. Article 11 is based on the assumption that the assignee should not have to examine the documentation of each receivable, since this process would be costly in a bulk assignment and impossible in an assignment of future receivables.
100- وتستند المادة 11 إلى الافتراض بأنه ليس من الضروري أن يفحص المحال اليه المستندات المتعلقة بكل مستحق، لأن هذه العملية ستكون مكلفة في الاحالة الاجمالية ومستحيلة في احالة المستحقات الآجلة.

٢١١- وأضاف قائلا انه يوافق على أن يؤدي مجلس اﻷمن دورا وفقا ﻷحكام ميثاق اﻷمم المتحدة في احالة حالات الى المحكمة .

3. In an international assignment, the assignor and the assignee are considered, unless otherwise agreed, to have implicitly made applicable to the assignment a usage that in international trade is widely known to, and regularly observed by, parties to the particular type of assignment or the assignment of the particular category of receivables.
3- في الإحالة الدولية، يعتبر أن المحيل والمحال إليه قد أخضعا الإحالة ضمنا، ما لم يتفقا على خلاف ذلك، لعرف شائع في التجارة الدولية لدى الأطراف في النوع المعين من الاحالة أو في احالة الفئة المعينة من المستحقات، ويراعى بانتظام من جانبها.

Under paragraph 1, the assignor represents that it has the right to assign the receivable, that it has not assigned it already and that the debtor does and will not have any defences.
116- يقر المحيل، بمقتضى الفقرة 1، بأن له الحق في احالة المستحق وبأنه لم يسبق له أنه أحال المستحق وبأنه ليست للمدين ولن تكون له أي دفوع.

" )١( يكون المستحق منقولا الى المحال اليه بصرف النظر عن أي اتفاق بين المحيل والمدين يقيد بأي شكل من اﻷشكال حق المحيل في احالة مستحقاته .

" (2) Nothing in this article affects any obligation or liability of the assignor to the debtor in respect of an assignment made in breach of an agreement limiting in any way the assignor's right to assign its receivables, but the assignee is not liable to the debtor for such a breach. "
" )٢( لا تمس هذه المادة أي التزام أو مسؤولية من جانب المحيل تجاه المدين فيما يتعلق باحالة أجريت اخلالا باتفاق يقيد بأي طريقة حق المحيل في احالة مستحقاته ، لكن المحال اليه ليس مسؤولا تجاه المدين عن هذا الاخلال . "

It was stated that such a result would be inconsistent with article 9, paragraph 1, of the United Nations Convention on the assignment of Receivables in International Trade ( " the United Nations Assignment Convention " ), under which an assignment was effective notwithstanding any agreement limiting a creditor's right to assign its receivables.
وذكر أن تلك النتيجة لا تتماشى مع الفقرة 1 من المادة 9 من اتفاقية الأمم المتحدة لاحالة المستحقات في التجارة الدولية ( " اتفاقية الأمم المتحدة للاحالة " ) التي بموجبها تكون الاحالة نافذة المفعول بصرف النظر عن أي اتفاق يقيّد حق الدائن في احالة مستحقاته.

In order to address that problem, it was suggested that language along the following lines should be included in paragraph (1): " Nothing in this article affects any limitations to the assignor's right to assign its receivables that does not result from an agreement between the assignor and the debtor " .
ومن أجل معالجة تلك المشكلة ، اقترح أن تدرج في الفقرة )١( عبارة على غرار ما يلي : " ليس في هذه المادة ما يمس أية قيود على ما للمحيل من حق في احالة مستحقاته لا يكون ناتجا عن اتفاق بين المحيل والمدين " .

" (2) Without prejudice to the rights of parties in possession of the goods, a right securing payment of the assigned receivables is transferred to the assignee, notwithstanding any agreement between the assignor and the debtor, or the person granting the security right, limiting in any way the assignor's right to assign such a security right.
" )٢( دون مساس بحقوق اﻷطراف التي توجد السلع في حوزتها ، يكون الحق الذي يضمن سداد المستحقات المحالة منقولا الى المحال اليه ، على الرغم من وجود أي اتفاق بين المحيل والمدين ، أو الشخص الذي يمنح الحق الضماني ، يقيد بأي شكل من اﻷشكال حق المحيل في احالة هذا الحق الضماني .

The definition is intended to ensure that all potential priority conflicts are covered, including conflicts between a domestic and a foreign assignee of domestic receivables, between an assignee and a creditor with an interest in other property extended to the receivables flowing from that property and between an assignee in an assignment made before and an assignee in an assignment made after the draft Convention enters into force.
ويقصد من التعريف ضمان أن يغطي جميع منازعات الأولوية المحتملة، بما فيها المنازعات بين محال اليه محلي ومحال اليه أجنبي لمستحق محلي، والمنازعات بين محال اليه ودائن ذي حق في ممتلكات أخرى يمدد إلى المستحقات الناشئة عن تلك الممتلكات، والمنازعات بين محال اليه في احالة تجري قبل بدء سريان مشروع الاتفاقية ومحال اليه في احالة تجري بعد بدء ذلك السريان.

After discussion, the Working Group confirmed its tentative decision that tort receivables should be covered and requested the Secretariat to reflect that decision by listing tort receivables in the scope provisions, possibly in draft article 2(2), and to prepare any additional provisions that might be necessary to address issues arising in an assignment of tort receivables.
٥٧١ - وبعد المناقشة أكد الفريق العامل قراره اﻷولي بتناول مسألة المستحقات عن اﻷضرار وطلب الى اﻷمانة تجسيد ذلك القرار من خلال ذكر المستحقات عن اﻷضرار في اﻷحكام المتعلقة بالنطاق ، ويمكن أن يكون ذلك في مشروع المادة ٢ )٢( ، واعداد أي أحكام اضافية قد تكون لازمة لمعالجة المسائل التي تنشأ في احالة المستحقات عن اﻷضرار .

Regarding the Security Council, given its responsibilities under the Charter it would have a crucial role to play in referring matters to the Court under Chapter VII.
١٤ - وفيما يتعلق بمجلس اﻷمن ، فان مع مسؤولياته بموجب الميثاق يتعين أن يكون له دور حاسم يؤديه في احالة المسائل الى المحكمة بمقتضى الفصل السابع .

Article 10 concerned not the Security Council’s role in referring a matter or situation to the Court but its power of requesting the suspension of an investigation or prosecution if an issue under Chapter VII arose that was also the subject of an investigation or prosecution by the Court.
١١ - وقال ان المادة ٠١ لا تعني دور مجلس اﻷمن في احالة مسألة أو حالة الى المحكمة بل تعني سلطته في طلب تعليق تحقيق أو مقاضاة اذا ظهرت مسألة بمقتضى الفصل السابع وكانت أيضا موضوع تحقيق أو مقاضاة من المحكمة .
