With respect to article 10, paragraph 2, it was agreed that it should be aligned more closely with the formulation of recommendation 31 of the UNCITRAL Legislative Guide on Insolvency Law.
107- وفيما يخص الفقرة 2 من المادة 10 اتُّفق على جعلها أكثر تماشياً مع الصياغة المستخدمة في التوصية 31 الواردة في دليل الأونسيترال التشريعي لقانون الإعسار.

It should be noted that the principles of the Convention were incorporated into the UNCITRAL Legislative Guide on Secured Transactions (2007). Thus, States that substantially implement the recommendations of the Guide have, at the same time, introduced the principles of the Convention into their domestic law.
تجدر الإشارة إلى أن مبادئ هذه الاتفاقية قد أدرجت في دليل الأونسيترال التشريعي بشأن المعاملات المضمونة (2007).() ومن ثم، فإن الدول التي تنفذ توصيات الدليل تنفيذاً فعلياً ستكون قد أدرجت في الوقت نفسه مبادئ الاتفاقية في قوانينها المحلية.

The Commission further took note that other issues, although relevant to enterprise groups, could be treated in the same manner as in the UNCITRAL Legislative Guide on Insolvency Law and the UNCITRAL Model Law on Cross-Border Insolvency.

Recognizing that States would need guidance as to how the recommendations contained in the UNCITRAL Legislative Guide on Secured Transactions would apply in an intellectual property context and as to the adjustments that need to be made to their laws to avoid inconsistencies between secured transactions law and law relating to intellectual property,

Turkey is of the view that in order to ensure best use of the draft UNCITRAL model legislative provisions on privately financed infrastructure projects for those States willing to make use of them, the letter and spirit of the provisions should be duly interpreted taking into account the legislative recommendations contained in the UNCITRAL Legislative Guide on Privately Financed Infrastructure Projects.
ترى تركيا أنه من أجل ضمان استعمال مشاريع أحكام الأونسيترال التشريعية النموذجية بشأن مشاريع البنية التحتية الممولة من القطاع الخاص على أحسن وجه من قِبل الدول الراغبة في استعمالها، فانه ينبغي تفسير نص وروح تلك الأحكام على النحو الواجب مع مراعاة التوصيات التشريعية الواردة في دليل الأونسيترال التشريعي بشأن مشاريع البنية التحتية الممولة من القطاع الخاص.

4. Also recommends that all States continue to consider becoming parties to the United Nations Convention on the Assignment of Receivables in International Trade and implementing the recommendations contained in the UNCITRAL Legislative Guide on Secured Transactions.1

The Commission will recall that the topic was introduced in the UNCITRAL Legislative Guide on Insolvency Law, adopted by the Commission at its thirty-seventh session, in 2004, but it was not pursued in any great detail as part of the deliberations on the Legislative Guide and no recommendations were proposed for inclusion in the Guide.
ولعلّ اللجنة تستذكر أن هذا الموضوع قدّم في دليل الأونسيترال التشريعي لقانون الإعسار،(34) الذي اعتمدته اللجنة إبان دورتها السابعة والثلاثين في عام 2004،(35) إلا أنه لم يبحث بقدر كبير من التفصيل ضمن المداولات التي دارت بشأن الدليل التشريعي، ولم تقترح أي توصيات بشأن إدراجه في الدليل.

The Chairman drew the attention of the Commission to paragraph 2 of document A/CN.9/522/Add.1, which outlined three options with regard to the relationship between the draft model legislative provisions and the legislative recommendations contained in the UNCITRAL Legislative Guide on Privately Financed Infrastructure Projects (A/CN.9/SER.B/4).

Paragraph 2 reaffirms essentially the restrictive approach taken by the Commission in the UNCITRAL Legislative Guide to the effect that each of the members of a qualified consortium may participate, either directly or through subsidiary companies, in only one bid for the project.

At that session, Working Group V requested the Secretariat to prepare a background paper on the discussion of intellectual property in the context of the treatment of contracts in the UNCITRAL Legislative Guide on Insolvency Law (A/CN.9/666, paras. 112-117).

It was noted that, in the insolvency of the licensee, any termination or acceleration clause would be unenforceable (see recommendation 70 of the UNCITRAL Legislative Guide on Insolvency Law).

At its thirty-ninth session, the Commission had decided that the draft Guide would reflect the recommendations of the UNCITRAL Legislative Guide on Insolvency Law (the Insolvency Guide) and would be fully consistent with its provisions.

The Working Group also took note of a note by the Secretariat entitled " Discussion of intellectual property in the Legislative Guide on Insolvency Law " (A/CN.9/WG.V/WP.87).
