1. The CHAIRMAN invited the Commission to resume its discussion of article 12 of the draft Model Law on Procurement of Goods, Construction and Services.

Yet another suggestion was that the guide to enactment should clarify that payment of any surplus should be made in the order of priority in accordance article 70 of the draft Model Law.

7. In 1995, the Commission had adopted articles 1 and 3 to 11 of the draft Model Law on Legal Aspects of Electronic Data Interchange (EDI) and Related Means of Communication.

There was no technical difference between the general rule set out in article 3 of the draft Model Law and the specific sentence " unless otherwise agreed " added to some of the articles to make them clearer.

57. At its twenty-eighth session (1995), the Commission adopted the text of articles 1 and 3 to 11 of the draft Model Law.

196. Various views and concerns were expressed with respect to the titles of Part One and Part Two of the draft Model Law and about the title of chapter I in Part One.

In that respect, it was suggested that the matter could be further considered in conjunction with the definition of " obligor " , which was used only in draft articles 26 and 27 of the draft Model Law.

After discussion, it was agreed that article 9, paragraph 1, should be revised and article 9, paragraph 2, should be revised and placed in chapter I of the draft Model Law (see paras. 38-39 above).
40- وبعد المناقشة، اتُّفق على أنْ تُنقَّح الفقرة 1 من المادة 9، وأنْ تُنقَّح الفقرة 2 من المادة 9 وتُدرَج في الفصل الأول من مشروع القانون النموذجي (انظر الفقرتين 38 و39 أعلاه).

143. After discussion, the Commission agreed that the draft article should appear in the Model Law in a way that reflected both the specific nature of the provisions regarding transport documents and their legal status, which should be the same as that of the general provisions contained in chapters I to III of the draft Model Law.
١٤٣ - وبعد المناقشة، وافقت اللجنة على أن يظهر مشروع المادة في القانون النموذجي بطريقة تبين الطبيعة المحددة للأحكام المتعلقة بمستندات النقل وبوضعها القانوني على السواء، وهي اﻷحكام التي ينبغي أن تكون ذات اﻷحكام العامة الواردة في الفصول من اﻷول إلى الثالث من مشروع القانون النموذجي.

In that connection, it was noted that articles 5, 6 and 7 of the draft Model Law contained provisions that shared the structure of paragraph (2) (for continuation of the discussion in the context of articles 5, 6 and 7 of the draft Model Law, see para. 181 below).

11. Mr. TELL (France) said making article " x " Part II of the draft Model Law was preferable to simply including it as an annex, because the general provisions in articles 6 and 7 of the Model Law would then be equally applicable to it.
١١ - السيد تل )فرنسا(: قال إن جعل المادة " س " الجزء الثاني من مشروع القانون النموذجي هو أفضل من مجرد شمولها كمرفق، ﻷن اﻷحكام العامة في المادتين ٦ و ٧ من القانون النموذجي تتساوى عندئذ في الانطباق.

The request was made in the interests of consistency with decisions made regarding the same concept when the Commission had discussed article 9 of the draft Model Law (A/CN.9/SR.742).
وقال ان الهدف من تقديم هذا الطلب، هو توخي الاتساق مع القرارات التي اتخذت بشأن نفس المفهوم عندما ناقشت اللجنة المادة 9 من مشروع القانون النموذجي (A/CN.9/SR.742).

Another view was that the draft Model Law should generally follow the structure of the Secured Transactions Guide and any adjustments that would need to be made should be considered at the time each particular chapter or section of the draft Model Law would be discussed.
13- وذهب رأي آخر إلى أن يَتَّبِعَ مشروع القانون النموذجي عموماً هيكل دليل المعاملات المضمونة، وألاَّ يُنظر فيما قد يلزم إدخاله من تعديلات إلاَّ عند مناقشة كل فصل أو باب معيَّن من مشروع القانون النموذجي.

The Working Group agreed that article 58 addressed an issue that was normally addressed in general law on liability and should thus be deleted from the draft Model Law.
16- اتَّفق الفريق العامل على أنَّ المادة 58 تعالج مسألة عادةً ما يتناولها قانونٌ عام بشأن المسؤولية مما يستوجب حذفَها من مشروع القانون النموذجي.
