(i) The characteristics and priority of the right of an assignee in the assigned receivable; and

In an insolvency proceeding commenced in a State other than the State in which the assignor is located, any preferential right which arises under the law of the forum State and is given priority status over the rights of an assignee in insolvency proceedings under the law of that State has such priority notwithstanding article 24.
" 2- في اجراءات الاعسار التي تستهل في دولة غير الدولة التي يقع فيها مقر المحيل، اذا نشأ أي حق تفضيلي بمقتضى قانون دولة المحكمة وأعطي الأولوية على حقوق محال اليه في اجراءات اعسار تنظم في اطار قانون تلك الدولة، تكون لذلك الحق تلك الأولوية بصرف النظر عما تنص عليه المادة 24.

However, an assignee may not obtain priority over a prior assignment of which the assignee had knowledge at the time of conclusion of the contract of assignment to that assignee by notifying the debtor.
غير أنه لا يجوز أن يكتسب المحال إليه، عن طريق إشعار المدين، أولوية على إحالة سابقة كان المحال إليه على علم بها وقت إبرام عقد الإحالة إلى ذلك المحال إليه.

18. This principle should not, however, prevent the debtor of the receivable from agreeing that it may not raise against an assignee defences or rights of set-off that it could otherwise raise against the assignor.
