(a) The debtor of the receivable may agree with the assignor in a writing signed by the debtor of the receivable not to raise against the assignee the defences and rights of set-off that it could raise pursuant to recommendation 117.

)١( دون اخلال بالقانون الذي ينظم حماية المستهلك في الدولة التي يكون فيها مقر المدين ، يجوز للمدين أن يتفق كتابة مع المحيل على عدم التمسك تجاه المحال اليه بالدفوع وحقوق المقاصة التي يمكنه أن يتمسك بها عملا بالمادة ٩١ .

(c) Notwithstanding subparagraphs (a) and (b) of this recommendation, defences and rights of set-off that the debtor of the receivable may raise pursuant to recommendation 25, subparagraph (b), or recommendation 26, subparagraph (e), against the assignor for breach of an agreement limiting in any way the assignor's right to make the assignment are not available to the debtor of the receivable against the assignee.
