The Russian Federation notes that the draft texts of the revised Guide to Enactment of the Model Law on Cross-Border Insolvency and draft Part four of the Legislative Guide on Insolvency Law on directors' obligations in the period approaching insolvency have, as a whole, been approved by Working Group V (Insolvency Law) of the United Nations Commission on International Trade Law (UNCITRAL).
1- يلاحظ الاتحاد الروسي أنَّ الفريق العامل الخامس (المعني بقانون الإعسار)، التابع للجنة الأمم المتحدة للقانون التجاري الدولي (الأونسيترال)، قد اعتمد مشروع النص المنقَّح لدليل اشتراع القانون النموذجي بشأن الإعسار عبر الحدود ومشروع الجزء الرابع من الدليل التشريعي لقانون الإعسار الذي يتعلق بواجبات المديرين في فترة الاقتراب من الإعسار، في مجملهما.

At the same session, the General Assembly expressed its appreciation to the Commission for revising the Guide to Enactment of the Model Law on Cross-Border Insolvency and for developing and adopting part four of the Legislative Guide on Insolvency Law, addressing the obligations of directors of an enterprise in the period approaching the insolvency of that enterprise (resolutions 68/107 A and B).
وفي الدورة نفسها، أعربت الجمعية العامة عن تقديرها للجنة عن تقديرها للجنة لقيامها بتنقيح دليل اشتراع القانون النموذجي للإعسار عبر الحدود ولإعدادها واعتمادها الجزء الرابع من الدليل التشريعي بشأن قانون الإعسار الذي يتناول الالتزامات الواقعة على عاتق المديرين في الفترة المفضية إلى الإعسار (القرار 68/107 ألف - باء).

In light of those considerations, the Working Group agreed that it would be helpful to have the next steps taken informally in an expert group whose task would be to examine how part four of the Legislative Guide could be applied in the enterprise group context and any additional issues (such as conflicts between a director's duty to its own company and the interests of the group and issues of governing law) that might need to be addressed.
وعلى ضوء هذه الاعتبارات، اتَّفق الفريق العامل على أنَّ من المفيد معالجة الخطوات التالية بصفة غير رسمية في إطار فريق خبراء تكون مَهمَّته أن يَدرس الكيفية التي يمكن بها تطبيق أحكام الجزء الرابع من الدليل التشريعي في سياق مجموعات المنشآت وما قد يلزم معالجته من مسائل إضافية (مثل التضارب بين واجبات المدير تجاه شركته ومصالح المجموعة ومسائل القانون الناظم).
