وذُكر أيضا أن مشروع الدليل سيظل مطبّقا على أنواع معينة من حقوق السداد التي تنشأ بمقتضى العقود المالية أو عن تلك العقود (مثل عقود النقد الأجنبي)، حتى إن استبعدت من نطاقه كل أنواع الأوراق المالية.

In response, it was observed that any exclusion from or inclusion in the draft Guide of payment rights arising under or from financial contracts should be based on the definition of the term " financial contract " contained in the United Nations Assignment Convention, as the definition was sufficiently flexible to accommodate new practices.
140- وردّا على ذلك، ذُكر أن أي استبعاد لحقوق السداد التي تنشأ بمقتضى العقود المالية أو عن تلك العقود من مشروع الدليل، أو أي إدراج لها في نطاقه، ينبغي أن يستند إلى تعريف مصطلح " العقد المالي " الوارد في اتفاقية الأمم المتحدة للمستحقات، لأن ذلك التعريف مرن بما فيه الكفاية لاستيعاب الممارسات الجديدة.

At the same time, it was emphasized that work on security rights in payment rights arising under or from financial contracts should be deferred to the future, since the relevant issues required significant additional work and, in any case, the draft Guide should not be made even more complex or delayed.
141- وفي الوقت ذاته، شُدد على أن العمل المتعلق بالحقوق الضمانية في حقوق السداد التي تنشأ بمقتضى العقود المالية أو عن تلك العقود ينبغي أن يُرجأ إلى المستقبل، لأن المسائل ذات الصلة تتطلب عملا إضافيا كبيرا، وأن مشروع الدليل لا ينبغي، على أي حال، جعله أكثر تعقّدا مما هو عليه أو تأخير إنجازه.

It was also pointed out that the Convention excluded only payment rights arising under or from financial contracts governed by netting agreements (article 4, subparagraph 2 (b), and article 5, subparagraphs (k) and (l), of the Convention).
وذُكر أيضا أن الاتفاقية لا تستبعد سوى حقوق السداد التي تنشأ بمقتضى العقود المالية أو عن تلك العقود التي تحكمها اتفاقات المعاوضة (الفقرة الفرعية 2 (ب) من المادة 4، والفقرتين الفرعيتين (ك) و (ل) من المادة 5 من الاتفاقية).

It was also observed that, in line with the approach taken in article 4, subparagraph (2) (b), of the Convention, payment rights arising under or from financial contracts should be excluded only to the extent that they were subject to netting agreements (as a result, for example, a security right in a single receivable would not be excluded), and receivables payable upon termination of all outstanding obligations should not be excluded.
ولوحظ أيضا أنه، وفقا للنهج المتّبع في الفقرة الفرعية 2 (ب) من المادة 4 من الاتفاقية، ينبغي عدم استبعاد حقوق السداد التي تنشأ بمقتضى العقود المالية أو عن تلك العقود إلا بقدر ما تكون خاضعة لاتفاقات معاوضة (وهذا يعني، مثلا، عدم استبعاد المستحق المنفرد) وعدم استبعاد المستحقات الواجبة السداد عند إنهاء جميع الالتزامات المعلّقة.
