غير أنه لا يجوز أن يكتسب المحال إليه، عن طريق إشعار المدين، أولوية على إحالة سابقة كان المحال إليه على علم بها وقت إبرام عقد الإحالة إلى ذلك المحال إليه.

1. Unless otherwise agreed between the assignor and the assignee, the assignor represents at the time of the conclusion of the contract of assignment that:

Without prejudice to the right of a competing claimant, an existing receivable is transferred and a future receivable is deemed to be transferred at the time of the conclusion of the contract of assignment, unless the assignor and the assignee have specified a later time.
دون مساس بحق المُطالِب المُنازِع، يكون أي مستحق قائم منقولا وقت إبرام عقد الإحالة ويعتبر أي مستحق آجل منقولا وقتَ إبرام عَقد الإحالة، ما لم يحدد المٌحيل والمُحال إليه وقتا لاحقا.

(b) " Existing receivable " means a receivable that arises upon or before conclusion of the contract of assignment and " future receivable " means a receivable that arises after conclusion of the contract of assignment;
(ب) " المستحق القائم " يعني المستحق الذي ينشأ عند إبرام عقد الإحالة أو قبل إبرامه؛ و " المستحق الآجل " يعني المستحق الذي ينشأ بعد إبرام عقد الإحالة؛

(a) This Convention does not apply to such types of assignment or to the assignment of such categories of receivables if the assignor is located at the time of conclusion of the contract of assignment in such a State; and
(أ) لا تنطبق هذه الاتفاقية على تلك الأنواع من الإحالات أو على إحالة تلك الفئات من المستحقات إذا كان مقر المحيل وقت إبرام عقد الإحالة واقعا في تلك الدولة؛

5. Owing to its international nature, the Convention would apply only where the assignor and the debtor were located in different States and in respect of an assignment transaction if, at the time of conclusion of the contract of assignment, the assignor and assignee were located in different States.
5 - ونظرا إلى الطبيعة الدولية للإتفاقية، فإنها لا تنطبق إلا إذا كان مقرا المحيل والمدين يقعان في دولتين مختلفتين وإلا فيما يتعلق بعملية إحالة يقع مقرا المحيل والمحال إليه فيها في دولتين مختلفتين لدى إبرام عقد الإحالة.
