The first question is whether a security right that was not effectively created under old law but fulfils all the requirements for creation of a security right under the new law should become effective on the effective date of the new law.

The goal was to substitute the registration of a simple notice containing only minimal details about the security right to which it relates for the more cumbersome system of registering either the security documentation or a certified summary of it.

It does produce though some priority consequences in the sense that a security right that has not been made effective against third parties cannot be set up as against the rights of a competing claimant in the same encumbered assets.

The problem with this approach is that impairs the reliability of a security right given by a seller because of the possibility that the asset will be sold without the secured creditor's knowledge to a remote buyer, either innocently or with the specific intention of stripping away the security right.
