(i) the characteristics and priority of the right of an assignee in the assigned receivable; and

(ii) the characteristics and priority of the right of the assignee in proceeds that are receivables whose assignment is governed by this Convention; and

1. A personal or property right securing payment of the assigned receivable is transferred to the assignee without a new act of transfer.

The effect of such a modification as against the assignee is determined by article 22, paragraph 2.
وتحدد الفقرة 2 من المادة 22 مفعول ذلك التعديل تجاه المحال إليه.

Paragraph 2 requires actual or constructive consent of the assignee.
وتشترط الفقرة 2 موافقة فعلية أو اعتبارية من المحال إليه.

As a result, a partially performed contract may be modified only with the actual consent of the assignee.

This problem would normally not arise, since in practice parties tend to resolve such issues through an agreement as to which types of modifications require the assignee's consent.

If the assignor or the assignee has a place of business in more than one State, the place of business is that place where the central administration of the assignor or the assignee is exercised.
وإذا كان للمحيل أو المحال إليه مكان عمل في أكثر من دولة، يكون مكان العمل هو المكان الذي يمارس فيه المحيل أو المحال إليه إدارته المركزية.
