39. In response, it was said that a functional equivalence rule for the notion of " original " was necessary, since substantive law required the original of a paper-based transferable document or instrument to request performance or provided consequences for its absence.
39- وقيل ردًّا على ذلك إنَّ قاعدة التعادل الوظيفي لمفهوم " النسخة الأصلية " ضرورية لأنَّ القانون الموضوعي يشترط إبراز النسخة الأصلية من المستند أو الصك الورقي القابل للتحويل للمطالبة بالأداء أو ينص على عواقب لعدم إبرازها.

However, in response, it was said that the draft article was necessary to provide functional equivalence for forms of endorsement required under substantive law, such as endorsements on the back of a paper-based transferable document or instrument or by affixing an allonge, and should therefore be retained.

Thus, the Working Group engaged in a preliminary discussion about the definition of the terms " paper-based transferable document or instrument " and " electronic transferable record " as provided in draft article 3.

It was indicated that, throughout its life cycle, an electronic transferable record might contain information in addition to that contained in a paper-based transferable document or instrument that performed the same functions.
66- أُوضِح أنَّ السجل الإلكتروني القابل للتحويل قد يحتوي، طوال دورة عُمره، على معلومات تزيد عمَّا يحتوي عليه المستند أو الصك الورقي القابل للتحويل الذي يؤدِّي نفسَ الوظائف.

Yet another suggestion was to define electronic transferable record as the electronic equivalent of a paper-based transferable document or instrument, or as an electronic record that served the same functions as a paper-based transferable document or instrument.
وذهب اقتراح ثالث إلى تعريف السجل الإلكتروني القابل للتحويل بأنَّه المعادل الإلكتروني للمستند أو الصك الورقي القابل للتحويل، أو بأنَّه سِجلّ إلكتروني يؤدِّي نفس وظائف المستند أو الصك الورقي القابل للتحويل.

In that context, the Working Group recalled that the current definition of electronic transferable record had been broadened and thus was not in line with the definition of paper-based transferable document or instrument, in order to cover instruments that existed only in an electronic environment.
واستذكر الفريق العامل في هذا السياق أنَّ التعريف الحالي للسجل الإلكتروني القابل للتحويل قد جُعل فضفاضاً، بحيث يشمل الصكوك التي لا توجد إلاَّ في بيئة إلكترونية، فلم يَعُد متّسقاً مع تعريف المستند أو الصك الورقي القابل للتحويل.

It was also agreed that the definition of " paper-based transferable document or instrument " could include an indicative list of examples, while whether those examples would be retained in the definition or in the commentary would be discussed at a later stage.

With respect to draft article 31, it was said the paragraphs 1 and 2 should be redrafted to avoid any contradictions, particularly in light of the rule under which the law of the jurisdiction where the paper-based transferable document or instrument was issued applied to matters of validity of that document or instrument.
108- فيما يتعلق بمشروع المادة 31، قيل إنه ينبغي إعادة صياغة الفقرتين 1 و2 تفادياً لأيِّ تضاربات، خصوصاً بالنظر إلى القاعدة التي تقضي بأن يكون القانون المنطبق على المسائل المتعلقة بصحة المستند أو الصك الورقي القابل للتحويل هو قانون الولاية القضائية التي أصدر فيها ذلك المستند أو الصك.

While it was agreed that other definitions contained in draft article 3 should be examined in the context of the respective relevant draft article, the Working Group had a discussion about the definitions of " electronic transferable record " and " paper-based transferable document or instrument " .
21- أجرى الفريق العامل مناقشة بشأن تعريفَي " السجل الإلكتروني القابل للتحويل " و " المستند أو الصك الورقي القابل للتحويل " ، واتَّفق على النظر في التعاريف الأخرى الواردة في الفقرة 3 في سياق مشروع المادة ذي الصلة.

With respect to the definition of " paper-based transferable document or instrument " , the Working Group recalled that the definition originated from article 2, paragraph 2 of the United Nations Convention on the Use of Electronic Communications in International Contracts (New York, 2005) (the " Electronic Communications Convention " ).

While another suggestion was to delete the definition of " paper-based transferable document or instrument " , it was noted that there was a need to retain the definition in order to reflect the underlying rule that the law governing paper-based transferable documents or instruments was not affected by the draft provisions as stated in article 1, paragraph 2.

It was generally agreed that there was a need to align the definitions of " paper-based transferable document or instrument " and " electronic transferable record " by including both the " transferability " and the " entitlement " aspects.
26- واتُّفق عموماً على ضرورة المواءمة بين تعريف " المستند أو الصك الورقي القابل للتحويل " وتعريف " السجل الإلكتروني القابل للتحويل " ، بإدراج عنصري " القابلية للتحويل و " إعطاء الحق " .

It was explained that substantive law generally included a reference to the paper-based transferable document or instrument itself without explicitly requiring it to be " the original " and that " the original " status of the paper-based transferable document or instrument was generally assumed rather than explicitly stipulated.
وأُوضح أنَّ القانون الموضوعي عادة ما يتضمَّن إشارة إلى المستند أو الصك الورقي القابل للتحويل ذاته، دون أن يشترط صراحة أن يكون هو " النسخة الأصلية " وأنَّ صفة " النسخة الأصلية " التي يتسم بها المستند أو الصك الورقي القابل للتحويل عادة ما تكون صفة مُفترَضة، لا صفة منصوصاً عليها صراحة.

36. After concluding its discussion of draft article 10(3), the Working Group engaged in a general discussion on the functions performed by the " original " of a paper-based transferable document or instrument so as to identify how those functions could be achieved in an electronic environment.
36- وبعد الانتهاء من مناقشة مشروع المادة 10 (3)، أجرى الفريق العامل مناقشة عامة بشأن الوظائف التي تؤدِّيها " النسخة الأصلية " من المستند أو الصك الورقي القابل للتحويل وذلك من أجل استكشاف الكيفية التي يمكن بها تحقيق تلك الوظائف في البيئة الإلكترونية.

Yet, a suggestion was made that it should focus on the fact that a paper-based transferable document or instrument was capable of transferring rights specified in that document or instrument (in line with the definition of electronic transferable record) and that this could be done by delivery with or without endorsement.
ولكن قُدِّم اقتراح مفاده أن يركِّز التعريف على أن يكون المستند أو الصك الورقي القابل للتحويل قادراً على نقل الحقوق المنصوص عليها في ذلك المستند أو الصك (اتِّساقاً مع تعريف السجل الإلكتروني القابل للتحويل)، وأنَّه يمكن فعل هذا بالتسليم مع التظهير أو بدون تظهير.
