وذُكر أنَّ اللائحة التنظيمية النموذجية ستوفّر مجموعة من القواعد يمكن للدول المشترعة للقانون الموصى به في الدليل التشريعي أن تعتمدها بسهولة.

For example, it was noted, if a State had generally enacted the law recommended in the Guide, while providing for document- rather than notice-registration or registration for creation rather than for third-party effectiveness purposes, that State would not be able to implement the substance of the draft Registry Guide.

It was also observed that the Supplement was different in that, unlike the text on registration that sought to provide practical advice on matters addressed in the secured transactions law recommended in the Guide, the Supplement sought to coordinate the law recommended in the Guide with intellectual property law.

Finally, it was mentioned that a separate, stand-alone, comprehensive text would allow States to implement the draft Registry Guide without necessarily having to also implement the law recommended in the Guide.

The Commission took note of that view, but felt that allowing the contracting authority to reopen negotiations with a bidder with which negotiations had been terminated would amount to transforming the negotiations into simultaneous negotiations and would not be conducive to ensuring the level of transparency recommended in the Legislative Guide.

15. In the absence of an effective and efficient security interests registry, such as the one recommended in the Guide and in the draft Technical Legislative Guide on the Implementation of a Security Rights Registry, MFIs develop mechanisms that may or may not be legal or fair and probably do not protect sufficiently their security interests.
15- وفي غياب سجل فعَّال وكفؤٍ للمصالح الضمانية، مثل السجل الموصى به في الدليل التشريعي وفي مشروع الدليل التشريعي التقني لتنفيذ سجل للحقوق الضمانية، تستحدث مؤسسات التمويل البالغ الصغر آليات قد تكون، أو قد لا تكون، مشروعة أو منصفة، وربما لا توفر حماية كافية لمصالحها الضمانية.

In recognition of the social policies pursued by such laws, the law recommended in the Guide does not override provisions of such other law that limits the creation or the enforcement of a security interest or the transferability of certain types of asset (see recommendation 18).

It was stated that, while a short introduction could be included in the text, it should not be as long as chapters I and II. It was also observed that a text consisting of model regulations and commentary thereon would provide States that had enacted the secured transactions law recommended in the Guide with practical advice as to the issues to be addressed in the context of the establishment and operation of a general security rights registry.
وذُكر أنه يمكن تضمين النص مقدّمة وجيزة، على ألاّ تكون على شاكلة الفصلين الأول والثاني من حيث الطول. ولوحظ أيضا أنَّ من شأن نص يتضمّن لوائح نموذجية وتعليقا عليها أن يزوّد الدول التي اشترعت قانون المعاملات المضمونة الموصى به في الدليل التشريعي بمشورة عملية بشأن المسائل التي يتعيّن تناولها في سياق إنشاء وتشغيل سجل عام للحقوق الضمانية.

(a) The text should be restructured so as to present first the approach recommended in the Guide with any necessary explanation and should not be written so as to suggest that approaches not recommended in the Guide might be preferable to those recommended in the Guide;
(أ) أن تُعاد هيكلة النص بحيث يعرض أولاً النهج الموصى به في الدليل التشريعي مع ما يلزم من إيضاحات، وألاّ يُكتب على نحو يوحي بأنَّ النهوج غير الموصى بها في الدليل التشريعي قد تكون مفضلة على النهوج الموصى بها فيه؛

(d) Privacy and identity theft issues should be discussed in line with the way they were discussed in the Guide, highlighting that the law recommended in the Guide would apply together with the law on privacy and identity theft;
(د) أن تُناقَش مسائل الحرمة الشخصية وسرقة الهوية على نحو يتوافق مع الطريقة التي نوقشت بها في الدليل التشريعي، مع إبراز أنَّ القانون الموصى به في الدليل التشريعي يسري جنبا إلى جنب مع القانون المتعلق بالحرمة الشخصية وسرقة الهوية؛

(d) In some legal systems, archived cancellations were available to searchers, while under the law recommended in the Guide information on archived cancellations could be obtained further to a request to the registry (recommendation 74).
(د) أنَّ بعض النظم القانونية تجعل الإلغاءات المحفوظة في الأرشيف متاحة للباحثين، أما القانون الموصى به في الدليل التشريعي فيقضي بأنه يمكن الحصول على المعلومات المتعلقة بالإلغاءات المحفوظة في الأرشيف بناءً على طلب يُقدَّم إلى السجل (انظر التوصية 74).

It was also agreed that, while the draft Registry Guide should include cross-references to the commentary or recommendations of the Guide, it need not repeat all registration-related aspects of the Guide, as it was to be prepared as a reference tool to assist States in the implementation of the general security rights registry recommended in the Guide.

In particular, the security interests registry recommended in the Guide is so designed to permit the registration of notices of security interests in all types of secured transaction, including microfinance transactions (that is, assets of SMEs or consumers), to the extent that under the relevant property law a particular asset may be transferred or encumbered (see recommendations 32 and 34).
