وأما النمط الثاني فيشمل الضمانات التي تفيد بأن الحكومة لن تمنع شركة المشروع من ممارسة حقوق معينة ممنوحة لها بمقتضى اتفاق المشروع أو مستمدة من قوانين البلد، كحقها مثلا في اعادة اﻷرباح الى وطنها عند الانتهاء من تنفيذ المشروع.

Such measures may include express subrogation rights of the guarantor against the contracting authority or internal control mechanisms to ensure the accountability of the contracting authority or its agents in the event, for instance, of wanton or reckless breach of its obligations under the project agreement resulting in a call on the sovereign guarantee.
وقد تشمل هذه التدابير النص صراحة على حقوق حلول الجهة الضامنة محل السلطة المتعاقدة أو اعتماد آليات مراقبة داخلية لضمان مساءلة السلطة المتعاقدة أو وكلائها في حالة ارتكابهم، على سبيل المثال، انتهاكا مستهترا أو طائشا لالتزاماتها بمقتضى اتفاق المشروع بحيث يؤدي الى طلب ضمانات سيادية.

Some laws make only a general reference to exempting impediments, whereas other laws contain extensive lists of circumstances that excuse the parties from performance under the project agreement.
133- وبعض القوانين لا يشير إلى العوائق التي تبرر الإعفاء إلا بشكل عام، بينما تتضمن قوانين أخرى قوائم شاملة للظروف التي تعفي الطرفين من التنفيذ بمقتضى اتفاق المشروع.

The main purpose of such a direct agreement is to allow the lenders to avert termination by the contracting authority when the concessionaire is in default by substituting a concessionaire that will continue to perform under the project agreement in place of the concessionaire in default.
والغرض الرئيسي من هذا الاتفاق المباشر هو أن يسمح للمقرضين بأن يتجنبوا الإنهاء من جانب السلطة المتعاقدة في حالة تقصير صاحب الامتياز، وذلك بأن يحل محل صاحب الامتياز المقصر صاحب امتياز آخر يواصل التنفيذ بمقتضى اتفاق المشروع.

However, as a reflection of the lesser risk borne by the guarantor, which also reflects the lower cost of an accessory guarantee, the monetary limit of liability of the guarantor may be considerably higher than under a first-demand guarantee, thus covering a larger percentage of work under the project agreement.

٧١ - ولا يشير بعض القوانين إلى الظروف المؤدية الى الاعفاء إلا بشكل عام ، بينما تتضمن قوانين أخرى قوائم شاملة للظروف التي تعفي الطرفين من التنفيذ بمقتضى اتفاق المشروع .

In other legal systems, the project agreement is not technically suspended, but if the circumstances are such that the concessionaire is rendered unable to comply with its obligations under the project agreement, such inability is not construed as being a breach of the project agreement.
وفي نظم قانونية أخرى لا يكون اتفاق المشروع معلقا من الناحية الفنية ، ولكن إذا كان طابع الظروف يحول دون وفاء صاحب الامتياز بالتزاماته بمقتضى اتفاق المشروع فلا يفسر عدم القدرة على أنه إخلال بعقد المشروع .

Given the long duration of privately financed infrastructure projects, the concessionaire may face additional costs in meeting its obligations under the project agreement because of future, unforeseen changes in legislation applying to its activities.
122- نظرا لطول مدة مشاريع البنية التحتية الممولة من القطاع الخاص، قد يواجه صاحب الامتياز تكاليف إضافية في الوفاء بالتزاماته بمقتضى اتفاق المشروع تنجم عن تغييرات لاحقة لم تكن متوقعة في التشريع المنطبق على أنشطة صاحب الامتياز.

Given the long duration of privately financed infrastructure projects, the concessionaire may face additional costs in meeting its obligations under the project agreement because of future, unforeseen changes in legislation applying to its activities.
٦٠ - نظرا لطول مدة مشاريع البنية التحتية الممولة من القطاع الخاص ، قد يواجه صاحب الامتياز تكاليف إضافية في الوفاء بالتزاماته بمقتضى اتفاق المشروع تنجم عن تغييرات غير متوقعة تحدث في المستقبل في التشريع المنطبق على أنشطة صاحب الامتياز .

(b) That the contracting authority may enter into agreements with the lenders allowing them to appoint a new concessionaire to perform under the existing project agreement if the concessionaire seriously fails to deliver the service required under the project agreement or if other specified events occur that could justify the termination of the project agreement. )ب( أنه يجوز للهيئة المتعاقدة أن تبرم اتفاقات مع المقرضين تسمح لهم بتعيين صاحب امتياز جديد يقوم باﻷداء وفقا لاتفاق المشروع القائم ، اذا قصر صاحب الامتياز تقصيرا جسيما في توفير الخدمة المطلوبة بمقتضى اتفاق المشروع أو اذا وقعت أحداث أخرى منصوص عليها يمكن أن تبرر إنهاء اتفاق المشروع .

In countries where the lenders may obtain a security interest over the entirety of the concessionaire’s rights and interests under the project agreement (see chap. IV, “The project agreement”, ___), there may be an implied step-in right, whenever a particular situation constitutes an event of default under the loan agreements.
وفي البلدان التي يمكن فيها للمقرضين أن يحصلوا على مصلحة ضمانية في إجمالي حقوق صاحب الامتياز ومصالحه بمقتضى اتفاق المشروع )أنظر الفصل الرابع ، " اتفاق المشروع " ، ـــ( ، قد يوجد حق ضمني في التدخل متى شكل وضع معين إخلالا بمقتضى اتفاقات اﻹقراض .

Therefore, it may be useful to acknowledge in the law the contracting authority’s right to enter into agreements with the lenders allowing them to appoint a new concessionaire to perform under the existing project agreement, when the concessionaire seriously fails to deliver the service required under the project agreement, or following the occurrence of other specified events that could justify the termination of the project agreement.
٩١ - ولذلك ، فقد يكون من المفيد الاعتراف في القانون بحق الهيئة المتعاقدة في إبرام اتفاقات مع المقرضين تسمح لهم بتعيين صاحب امتياز جديد ، بمقتضى اتفاق المشروع القائم ، في حالة حدوث تقصير جسيم من جانب صاحب الامتياز في توفير الخدمة المطلوبة بمقتضى اتفاق المشروع ، أو بعد وقوع أحداث أخرى محددة يمكن أن تبرر إنهاء اتفاق المشروع .
