فمن الملائم تطبيق هذا المبدأ على العلاقات التعاقدية بين المحيل والمحال اليه أو بين المحيل والمدين.

For the same reason, representations are highly negotiated and explicitly settled between the assignor and the assignee.

ويمكن أن يرتكز نهج ممكن على مقولة انه لا ضرورة للشكل فيما بين المحيل والمحال اليه وكذلك تجاه المدين.

Although we do not believe that the text of the Convention needs to be changed, the Committee believes it would be appropriate to add a clarifying statement in the commentary that articles 24 and 31 are not meant to and should not be construed so as to overcome the law applicable as between the assignor and assignee under article 29.

In support of deletion, it was stated that the right of the assignee to payment would sufficiently result from the agreement between the assignor and the assignee.
وذكر تبريرا لهذا الحذف أن الاتفاق بين المحيل والمحال اليه يكفي لتقرير حق المحال اليه في السداد .

The view was expressed, however, that deleting the reference to draft article 19 might inappropriately weaken the position of the debtor, particularly in case of fraudulent collusion between the assignor and the assignee.

فقيل انه بينما قد يكون من المستصوب أن تخضع أيضا للقانون الذي يختاره الطرفان مسائل مثل نقل ملكية المبلغ المستحق فيما بين المحيل والمحال اليه فمما لا يمكن قبوله دون مناقشة أن يكون من الملائم أن تخضع للقانون الذي يختاره الطرفان مسائل مثل قابلية المبلغ المستحق للاحالة ووقت نقل ملكية المبلغ المستحق .

It was pointed out that, in practice, an assignment was often not effected by means of a written instrument, but resulted from an exchange of communications between the assignor and the assignee which might be followed by a writing or not.
وأشير الى أنه ، على صعيد الممارسة ، لا تدخل الاحالة عادة حيز النفاذ بموجب صك مكتوب ، وانما تكون نتيجة لتبادل مراسلات بين المحيل والمحال اليه قد تتبعها أو لا تتبعها كتابة .

The Working Group had agreed that the requirement as to form was not an issue in the relationship between the assignor and the assignee and not an issue as against the debtor, who was sufficiently protected by the requirement for a written notification.

ومسألة ما ان كان يجوز للشخص الذي تلقى السداد أن يحتفظ بالمبلغ المدفوع هي مسألة متروكة للمادة 24، لأن المادة 9 تقصر أثر الاحالة على العلاقة بين المحيل والمحال اليه وعلى العلاقة بين المحال اليه والمدين.

Such representations may stem from the financing contract, the contract of assignment (if it is a separate contract) or any other contract between the assignor and the assignee.
وقد تنشأ هذه الاقرارات عن عقد التمويل أو عن عقد الاحالة (اذا كان عقدا منفصلا) أو عن أي عقد آخر بين المحيل والمحال اليه.

In addition to recognizing the principle of party autonomy, article 14 is intended to set forth a default rule allocating risks between the assignor and the assignee in the absence of an agreement of the parties as to this matter.
115- وعلاوة على التسليم بمبدأ حرية الأطراف، فإن القصد من المادة 14 هو استحداث قاعدة تقصير توزع المخاطر بين المحيل والمحال اليه عندما لا يكون هناك اتفاق بين الطرفين بشأن هذا الأمر.
