Such an agreement precludes the debtor from raising against the assignee those defences and rights of set-off.
ويمنع هذا الاتفاق المدين من التمسك بتلك الدفوع وحقوق المقاصة تجاه المحال اليه .

Language along the following lines was suggested: " After notification, an agreement between the assignor and the debtor is ineffective as against the assignee unless " .
واقترحت صياغة على غرار ما يلي : " بعد الاشعار ، يكون أي اتفاق بين المحيل والمدين عديم المفعول تجاه المحال اليه الا " .

The suggestion was broadly supported on the understanding that in those exceptional cases in which a modification would be effective as against the assignee even after notification, the assignee would acquire the rights arising under the modified contract as against the debtor.
وقد لاقى الاقتراح تأييدا واسعا على أن يكون مفهوما أنه في الحالات الاستثنائية التي يكون فيها التعديل نافذ المفعول تجاه المحال اليه حتى بعد الاشعار ، فان المحال اليه يكتسب تجاه المدين الحقوق الناشئة بموجب العقد المعدل .

(2) After notification of the assignment, an agreement between the assignor and the debtor that affects the assignee's rights is ineffective as against the assignee unless:
)٢( بعد الاشعار بالاحالة ، لا يكون الاتفاق بين المحيل والمدين والذي يمس حقوق المحال اليه نافذا تجاه المحال اليه الا :

3. Notwithstanding paragraphs 1 and 2 of this article, defences and rights of set-off that the debtor may raise pursuant to article 11 against the assignor for breach of agreements limiting in any way the assignor's right to assign its receivables are not available to the debtor against the assignee.
3- بصرف النظر عن أحكام الفقرتين 1 و 2 من هذه المادة، لا تكون الدفوع وحقوق المقاصة التي يجوز للمدين أن يتمسك بها تجاه المحيل بمقتضى المادة 11، بسبب الاخلال باتفاقات تقيد بأي شكل من الأشكال حق المحيل في احالة مستحقاته، متاحة للمدين تجاه المحال اليه.

With the exception of defences and rights of set-off referred to in paragraphs 2 and 3, the debtor has against the assignee all the defences and rights of set-off that the debtor could raise against the assignor.
16- باستثناء الدفوع وحقوق المقاصة المشار اليها في الفقرتين 2 و3، يجوز للمدين أن يتمسك تجاه المحال اليه بجميع الدفوع وحقوق المقاصة التي يجوز للمدين أن يتمسك بها تجاه المحيل.

Another concern was that, in order to ensure that the modification would be effective as against the assignee, the debtor would have to determine whether a " reasonable " assignee would have consented to it, a matter that would not always be easy for the debtor to determine.
والشاغل اﻵخر المعرب عنه هو أنه ، من أجل كفالة أن يكون التعديل نافذ المعفول تجاه المحال اليه ، ينبغي للمدين أن يحدد ان كان يعقل في كل محال اليه أن يقبل به ، وقد لا يكون من السهل دائما بالنسبة للمدين تحديد ذلك .

The effect of such a modification as against the assignee is determined by article 21(2).
وتحدد المادة ١٢ )٢( أثر هذا التعديل تجاه المحال اليه .

According to paragraph 2, any other rights of set-off (independent set-off) may be raised against the assignee only if they are available to the debtor at the time notification is received.
وطبقا للفقرة 2، لا يجوز التمسك تجاه المحال اليه بأي حقوق مقاصة أخرى (المقاصة المستقلة) الا إذا كانت متاحة للمدين وقت تسلم الاشعار.

If those provisions apply, the assignment made in breach of a contractual limitation is effective as against the debtor (see article 11, paragraph 1) and the debtor will not have a defence as against the assignee (see article 20, paragraph 3).
واذا كانت تلك الأحكام منطبقة، تكون الاحالة التي تجرى انتهاكا للقيد التعاقدي نافذة تجاه المدين (انظر الفقرة 1 من المادة 11)، ولن يكون متاحا للمدين أي دفع تجاه المحال اليه (انظر الفقرة 3 من المادة 20).

" (3) Notwithstanding paragraphs (1) and (2), defences and rights of set-off that the debtor could raise pursuant to article 12 against the assignor for breach of agreements limiting in any way the assignor's right to assign its receivables are not available to the debtor against the assignee. "
" )٣( بالرغم من الفقرتين )١( و )٢( فان الدفوع والحقوق في المقاصة ، التي كان يمكن للمدير أن يقيمها عملا بالمادة ٢١ تجاه المحيل بشأن الاخلال باتفاقات تقيّد بأي طريقة حق المحيل في احالة مستحقاته ، لا تكون متاحة للمدين تجاه المحال اليه " .

While support was expressed in favour of the principle that notification should cut off certain rights of set-off that the debtor might have against the assignee, a number of concerns were expressed with regard to the current formulation of paragraph (2).
٦٩ - ورغم الاعراب عن تأييد لمبدأ ضرورة أن يسقط الاشعار بعض حقوق المقاصة التي قد تكون للمدين تجاه المحال اليه ، أعرب البعض عن عدة شواغل بشأن الصياغة الحالية للفقرة )٢( .

The view was expressed that draft article 12 would only be acceptable if the debtor could raise against the assignee any rights of set-off that might be available to the debtor against the assignor for violation of an anti-assignment clause.
١٠١ - أعرب عن رأي مؤداه أن مشروع المادة ٢١ لن يكون مقبولا الا اذا استطاع المدين أن يثير تجاه المحال اليه أي حق من حقوق المقاصة قد يكون متاحا للمدين تجاه المحيل نتيجة لمخالفة شرط بعدم جواز احالة الحق .

" (1) An agreement concluded before notification of the assignment between the assignor and the debtor that affects the assignee's right to payment is effective as against the assignee and the assignee acquires corresponding rights.
" )١( يكون الاتفاق المبرم قبل الاشعار بالاحالة بين المحيل والمدين والذي يمس حق المحال اليه في السداد ، نافذ المفعول كأنه تجاه المحال اليه ، ويكتسب المحال اليه حقوقا مناظرة .

" (2) After notification of the assignment, an agreement under paragraph (1) of this article is effective as against the assignee and the assignee acquires corresponding rights,
" )٢( بعد الاشعار بالاحالة ، يكون الاتفاق بمقتضى الفقرة )١( من هذه المادة نافذ المفعول كأنه تجاه المحال اليه ، ويكتسب المحال اليه حقوقا مناظرة ،

Another suggestion was that variant B could be restructured so as to list three situations in which a modification would be effective as against the assignee, i.e. if the modification was provided for in the original contract or if it was later consented to by the assignee or if a reasonable assignee would have consented to the modification.
٨٢١ - ويقول اقتراح آخر بامكانية اعادة صياغة البديل `باء` بحيث يورد ثلاث حالات يكون فيها التعديل نافذ المفعول تجاه المحال اليه ، أي ان كان التعديل منصوصا عليه في العقد اﻷصلي ، أو ان كان المحال اليه قد قبل التعديل في وقت لاحق ، أو ان كان يعقل في كل محال اليه أن يقبل التعديل .

)١( يكون الاتفاق المبرم قبل الاشعار بالاحالة بين المحيل والمدين والذي يمس حقوق المحال اليه نافذا تجاه المحال اليه ويكتسب المحال اليه حقوقا مماثلة .

" (2) The debtor may raise against the assignee any rights of set-off arising from contracts between the assignor and the debtor other than the original contract [or from a decision of a judicial or other authority other than that giving rise to the assigned receivable], provided that they were available to the debtor at the time notification of the assignment was received by the debtor.
" )٢( يجوز للمدين أن يقيم تجاه المحال اليه أي حق في المقاصة ناشئ عن عقود بين المحيل والمدين غير العقد اﻷصلي ]أو قرار صادر عن هيئة قضائية أخرى يقضي بانشاء المستحق المحال[ شريطة أن تكون متاحة للمدين في الوقت الذي يتلقى فيه المدين الاشعار بالاحالة .

As a matter of drafting, it was suggested that the chapeau of paragraph (2), rather than focusing on the exceptional cases in which a modification after notification was effective as against the assignee, should be reformulated to state the rule that after notification a modification would not be effective as against the assignee.
٤٢١ - ومن زاوية الصياغة ، أشير الى أن صياغة مدخل الفقرة )٢( بدلا من أن تركز على الحالات الاستثنائية التي يكون فيها التعديل بعد الاشعار نافذ المفعول تجاه المحال اليه ، ينبغي أن تعاد بحيث تورد القاعدة القائلة بأنه بعد الاشعار لا يكون للتعديل مفعول نافذ تجاه المحال اليه .
