واقترح لذلك الاحتفاظ بحق تصويب أو تغيير تعليمات السداد للمحال اليه .

It was widely felt that the debtor needed to know, in addition to the identity of the payee, the identity of the assignee who could issue payment instructions.
ورئي أن المدين في حاجة الى أن يعرف ، بالاضافة الى هوية القائم بالسداد ، هوية المحال اليه الذي قد يصدر تعليمات السداد .

In that connection, it was observed that that obligation depended on the contract from which the receivable arose and, in particular, on whether the account debtor had any defences or rights of set-off, as well as on the payment instructions given to the debtor.
وفي هذا الصدد لوحظ أن الالتزام يعتمد على العقد الذي نشأ عنه المستحق، ولا سيما على ما إذا كانت لدى صاحب الحساب المدين أية دفوع أو حقوق مقاصة. وكذلك على تعليمات السداد المعطاة للمدين.

Another concern was that a reference to payment instructions could inadvertently result in uncertainty as to whether the debtor could be discharged by paying the assignee in case of a notification containing incomplete instructions.
وكان من دواعي القلق أيضا أن الاشارة الى تعليمات السداد يمكن أن تسفر دون قصد عن حالة بلبلة بشأن ما اذا كان بمقدور المدين ابراء ذمته بالسداد الى المحال له في حالة وجود اشعار يتضمن تعليمات غير كاملة .

That suggestion was objected to on the ground that, if the issuer of the first notification was the assignor, it should not be allowed to change the payment instructions given in the notification, since the assignor was divested of its rights in the receivables.
ولقي هذا الاقتراح معارضة على أساس أنه اذا كان مصدر الاشعار اﻷول هو المحيل ، فانه ينبغي أن يتاح له تغيير تعليمات السداد الواردة في الاشعار ، نظرا ﻷن المحيل قد جرد من حقوقه في المستحقات .

Subject to that modification, the Working Group adopted the substance of paragraph (1) (in the context of its discussion of draft article 18, paragraph (2), the Working Group modified the reference to “payment instructions”, see paras. 72 to 73 and 78 below).
ورهنا بذلك التعديل ، اعتمد الفريق العامل جوهر الفقرة )١( )وفي سياق مناقشته الفقرة )٢( من المادة ٨١ ، عدّل الفريق العامل الاشارة الى " تعليمات السداد " ، انظر الفقرات ٢٧ و ٣٧ ثم ٨٧ أدناه( .

However, the reference to payment instructions contained in paragraph (2) raised a number of concerns.
٢٧ - إلا أن الاشارة الى تعليمات السداد الواردة في الفقرة )٢( أثارت القلق .

In addition, it was observed that such an approach could inadvertently result in an increase in the cost of credit, since, if notification did not specify the assignee or the person authorized to issue payment instructions on behalf of the assignee, assignees would always have to send a request for payment.
وبالاضافة الى ذلك ، قيل ان مثل هذا النهج يمكن أن يؤدي دون قصد الى زيادة في تكلفة القرض ، ﻷنه اذا لم يحدد الاشعار المحال اليه أو الشخص المأذون له باصدار تعليمات السداد بالنيابة عن المحال اليه تعين دائما على المحال اليهم ارسال طلب سداد .

After discussion, the Working Group adopted the substance of paragraph (2), subject to replacing the reference to payment instructions with the words " the person or to the account or address identified in the notification " .
٨٧ - وبعد المناقشة ، اعتمد الفريق العامل جوهر الفقرة )٢( ، رهنا بالاستعاضة عن الاشارة الى تعليمات السداد بعبارة " الشخص ، أو الى الحساب أو العنوان المحدد في الاشعار " .

While in some practices (e.g. factoring) payment instructions are given together with notification, in other practices (e.g. undisclosed invoice discounting or securitization), notification may be given without any payment instructions.
فبينما تعطى تعليمات السداد مع الاشعار في بعض الممارسات (مثل العوملة)، يجوز، في ممارسات أخرى (مثل خصم الفواتير غير المعلنة أو التسنيد) توجيه الاشعار بدون أي تعليمات للسداد.

In view of its discussion of the issue of payment instructions, the Working Group decided that a reference to the assignee should be added in draft article 16, paragraph (3).
٢٨ - وفي ضوء مناقشته لمسألة تعليمات السداد ، قرر الفريق العامل أنه ينبغي اضافة اشارة الى مشروع الفقرة )٣( من المادة ٦١ .

The suggestion to also refer to the person authorized by the assignee to issue payment instructions was objected to on the ground that the assignee's right to authorize someone else to issue payment instructions was sufficiently based on agency law and did not need to be explicitly mentioned in draft article 16, paragraph (3).
ويشير الاقتراح أيضا الى أن الشخص الذي أذن له المحال اليه باصدار تعليمات السداد قد اعترض عليه على أساس أن حق المحال اليه في تفويض شخص آخر في اصدار تعليمات السداد يستند بصورة كافية على قانون الوكالة ولا يحتاج الى الاشارة اليه صراحة في مشروع الفقرة )٣( من المادة ٦١ .

After discussion, the Working Group adopted the substance of paragraph (3), subject to replacing the reference to payment instructions by the words " the person or to the account or address identified in the first notification received " .
٥٨ - وبعد اجراء المناقشة ، اعتمد الفريق العامل نص الفقرة )٣( ، مع الاستعاضة عن الاشارة الى تعليمات السداد بالعبارة التالية : " الى الشخص أو الى الحساب أو العنوان المحدد في أول اشعار يتلقاه " .

It could be argued, under article 17 (1), that since assignments did not affect the payment terms contained in the original contract, notifications or payment instructions from several assignees, each claiming part of a receivable, would not be effective.
ويمكن أن يقال، بموجب المادة 17 (1)، انه بما أن الاحالات لا تمس أحكام السداد الواردة في العقد الأصلي فان الاشعارات أو تعليمات السداد الواردة من محال اليهم متعددين، يطالب كل منهم بجزء من المستحق، لن تكون نافذة المفعول.

In order to address those concerns, it was suggested that paragraph (2) should be aligned with draft article 16, paragraph (3), and the reference to " payment instructions " should be replaced by the words " the person or to the account or address identified in the notification " .
٣٧ - ولمعالجة هذين السببين الداعيين الى القلق ، اقتُرحت المواءمة بين الفقرة )٢( ومشروع الفقرة ٣ من المادة ٦١ والاستعاضة عن عبارة " تعليمات السداد " بعبارة " الشخص أو الى الحساب أو العنوان المحدد في الاشعار " .

Noting that paragraph (3) was not intended to cover situations in which several notifications related to one and the same assignment, the Working Group considered the question whether the paragraph should be revised in order to address the issue of corrections of mistakes or changes in payment instructions contained in a notification.
٠٨ - وبعد أن أشار الفريق العامل الى أن الفقرة )٣( لا تستهدف تغطية الحالات التي تكون هناك بشأنها اشعارات عديدة تتعلق بالاحالة الواحدة نفسها ، نظر في مسألة ما اذا كان ينبغي تنقيح الفقرة بغية معالجة مسألة تصويب اﻷخطاء أو التغييرات في تعليمات السداد الواردة في الاشعار .

وتشمل الخصائص الفريدة للغاية لذلك التصميم ما يلي: (أ) خاصية النهج الثنائي لنظام تسوية المعاشات التقاعدية؛ (ب) الاعتراف بالحالة العائلية؛ (ج) إدارة تقلبات أسعار العملات (التي تؤثر على إدارة التدفقات النقدية، وتقدير الخصوم، كما تؤثر على تخصيص الأصول)؛ (د) النطاق العالمي لمدفوعات الصندوق؛ (هـ) شهادة الاستحقاق؛ (و) عمليات تعليمات السداد.
