It was also explained that uncertainty as to the law applicable to the nature of the assignee's right as a full property or a security right would continue to impair transactions such as securitization, in which the effectiveness of the outright transfer involved was essential.

One suggestion was that reference should be made, instead of to " the assignee's right to payment " , to the contents or the characteristics of the receivable.
