This approach is justified by the need to apply, for consistency reasons, the same law to the creation and third-party effectiveness of the security right in the receivable or negotiable instrument and in the right to receive the proceeds under a related independent undertaking.

The law should provide that a security right in proceeds of inventory has the same priority as the acquisition security right in that inventory, except where the proceeds take the form of receivables, negotiable instruments, rights to payment of funds credited to a bank account or rights to receive the proceeds under an independent undertaking.
182- ينبغي أن ينص القانون على أن للحق الضماني في عائدات المخزون الأولوية ذاتها التي يتمتع بها الحق الضماني الاحتيازي في ذلك المخزون، إلا حيثما تكون تلك العائدات في شكل مستحقات أو صكوك قابلة للتداول أو حقوق في تقاضي الأموال المودعة في حساب مصرفي أو حقوق في تقاضي عائدات متأتية بمقتضى تعهّد مستقل.

(b) The right to enforce a security right in the right to receive the proceeds under the independent undertaking against the guarantor/issuer, confirmer or nominated person; and
(ب) الحقَّ في إنفاذ حق ضماني في حق تقاضي عائدات متأتية بمقتضى تعهّد مستقل تجاه الكفيل/المُصدر أو المُثبت أو الشخص المسمّى؛

(c) Except as provided in recommendation 209, the third-party effectiveness and priority of a security right in the right to receive the proceeds under the independent undertaking.

Similar considerations apply to the obligations of the obligor under a negotiable instrument, the depositary bank, the guarantor/issuer, confirmer or nominated person in an independent undertaking or the issuer of a negotiable document where a security right has been granted in a negotiable instrument, right to payment of funds credited to bank accounts or proceeds under an independent undertaking, or a negotiable document.
وتسري اعتبارات مماثلة على التزامات المدين بمقتضى صك قابل للتداول، أو على المصرف الوديع أو الكفيل/المُصدر أو المثبت أو أي شخص مسمى في تعهّد مستقل، أو مُصدر مستند قابل للتداول حيثما مُنِح حق ضماني في صك قابل للتداول أو حق تقاضي أموال مودعة في حسابات مصرفية أو عائدات متأتية بمقتضى تعهد مستقل أو مستند قابل للتداول.

The law should provide that a security right in a right to receive the proceeds under an independent undertaking that is made effective against third parties by control has priority as against a security right made effective against third parties pursuant to recommendation 48 (chapter V on the third-party effectiveness of a security right).
104- ينبغي أن ينص القانون على أن الحق الضماني في حق تقاضي عائدات متأتية بمقتضى تعهّد مستقل الذي أصبح نافذا تجاه الأطراف الثالثة بواسطة السيطرة تكون له الأولوية على الحق الضماني الذي جعل نافذا تجاه الأطراف الثالثة عملا بأحكام التوصية 48 (الفصل خامسا بشأن نفاذ الحق الضماني تجاه الأطراف الثالثة).

(a) A secured creditor's right in the right to receive the proceeds under an independent undertaking is subject to the rights, under the law and practice governing independent undertakings, of a guarantor/issuer, confirmer or nominated person and of any other beneficiary named in the undertaking or to whom a transfer of the right to draw has been effected;
124- ينبغي أن ينص القانون على ما يلي: (أ) أن حق الدائن المضمون في حق تقاضي عائدات متأتية بمقتضى تعهّد مستقل يخضع لما يكفله القانون والممارسة اللذان يحكمان التعهّدات المستقلة من حقوق للكفيل/المُصدر أو المُثبت أو الشخص المسمّى وأي مستفيد آخر ذُكر اسمه في التعهّد أو أحيل إليه الحق في السحب؛

(e) Collect on or otherwise enforce a security right in an encumbered asset that is a receivable, negotiable instrument, right to payment of funds credited to a bank account or right to receive the proceeds under an independent undertaking, as provided in recommendations 164-172;
