5.5 Clearly, a permanent establishment may only be considered to be situated in a Contracting State if the relevant place of business is situated in the territory of that State.

1. Each State Party shall take the necessary measures to ensure that legal entities having their registered offices or carrying out activities in its territory are held liable when they have knowingly, through the agency of one or more persons responsible for their management or control, [derived profits from or] participated in the commission of offences referred to in this Convention.
١ - تتخذ كل دولة طرف التدابير اللازمة لكفالة جواز محاسبة الكيانات الاعتبارية التي يوجد مكتبها الرئيسي في إقليم تلك الدولة أو تمارس فيها أنشطتها إذا ]حصلت[، بعِلم تام من شخص أو عدة أشخاص مسؤولين عن إدارتها أو تسييرها، ]على أرباح من[ الجرائم المشار إليها في هذه الاتفاقية أو شاركت في ارتكابها.
