واقترح بناء على هذا الرأي اعادة صياغة عبارة الفقرة الفرعية )ب( وفقا لما يلي : " لا يجوز للمدين الاتفاق على ألا يقيم ضد المحال اليه دفوعا أو حقوقا في المقاصة يكون من حق المدين أن يقيمها لو كان المستحق مثبتا في صك قابل للتداول صادر في الدولة التي يقع فيها المدين " .
