In response to a question, it was observed that “the rights and obligations of the debtor” were those arising under the original contract and the law governing that contract.

Moreover, it was pointed out that draft article 27 already dealt with the question of the law applicable to the rights and obligations of the debtor.

If, at the time of the conclusion of the original contract, the debtor is located in a State party to the Ottawa Convention or the law governing the original contract is the law of a State party to the Ottawa Convention and that State is not a party to this Convention, nothing in this Convention precludes the application of the Ottawa Convention with respect to the rights and obligations of the debtor.

Similarly, it was said that clarity as to the place of business of the debtor was essential for the application of the draft Convention to the rights and obligations of the debtor.

A concern was expressed that the right to request information should not be used to delay or frustrate proceedings and should therefore be restricted to information specified by the insolvency law or to information relating to the proceedings and to rights and obligations of the debtor.

(ب) لا تنطبق أحكام هذه الاتفاقية التي تمس حقوق والتزامات المدين إذا كان مقر المدين وقت إبرام العقد الأصلي واقعا في تلك الدولة أو كان القانون الذي يحكم العقد الأصلي هو قانون تلك الدولة.

In such a case, the Convention does not apply to such practices if the assignor is located in such a State or, with respect to the provisions of this Convention which deal with the rights and obligations of the debtor, the debtor is located in such a State.] "

It was pointed out that the same question would be raised as regards the application of those provisions of the draft Convention that dealt with the rights and obligations of the debtor, in case of a multiplicity of debtors.
