First, the Panel is called upon to interpret the clause “without prejudice to the debts and obligations of Iraq arising prior to 2 August 1990” (hereinafter referred to as the “arising prior to” clause).

Accordingly, the Panel finds that the terms “debts and obligations of Iraq arising prior to 2 August 1990 " means a debt or an obligation that is based on work performed or services rendered prior to 2 May 1990.Further, the Panel notes that the debts and obligations that are affected by the “arising prior to” clause are debts and obligations of Iraq.

The Panel finds, therefore, that there is no basis to distinguish between Iraqi private and public parties for the purposes of the Commission’s jurisdiction over debts and obligations arising prior to 2 August 1990.

The Government of Iraq has learned that the Governing Council of the United Nations Compensation Commission at Geneva was on the point of considering the report submitted to it with a view to determining whether Iraq should pay compensation in respect of its debts and obligations arising prior to 2 August 1990, and that the report was in the form of a lengthy legal study.

This determination by the Panel leads it to the necessity of drawing a line between what the Security Council intended that Iraq pay through the Fund, and what the Council intended that Iraq continue paying directly itself.(iv) debts and obligations within the “arising prior to” clause exclusion

The Panel also finds that the plain meaning of the term “debts and obligations” must include any reciprocal obligation assumed by the debtor as inducement for the receipt of something of value.

The Panel also finds that the plain meaning of the term “debts and obligations” must include any reciprocal obligation assumed by the debtor as inducement for the receipt of something of value.

68- عندما تنص العقود التي تستند إليها المطالبات على تأجيل المدفوعات تكون المسألة المطروحة هي معرفة ما إذا كانت الخسائر المطالب بتعويض عنها " ديوناً والتزامات ناشئة قبل 2 آب/أغسطس 1990 " ومن ثم خارجة عن نطاق اختصاص اللجنة.

The clause “without prejudice to the debts and obligations of Iraq arising prior to 2 August 1990, which will be addressed through the normal mechanisms” is not understood by such Governments to restrict the scope of the Commission’s jurisdiction.
أما عبارة " دون المساس بديونه والتزاماته الناشئة قبل ٢ آب/أغسطس ٠٩٩١ والتي سيجري تناولها عن طريق اﻵليات العادية " فلا تفهم منها تلك الحكومات أنها تقيد نطاق اختصاص اللجنة.

With respect to the claims involving contracts with an Iraqi private party, the Panel recalls its conclusion in the third report that there is no basis to distinguish between Iraqi private and public parties over with respect to " debts and obligations of Iraq arising prior to 2 August 1990 within the meaning of Security Council resolution 687 (1991) " .
39- فيما يتصل بالمطالبات التي تدخل فيها أطراف عراقية خاصة، يشير الفريق إلى استنتاجه الوارد في التقرير الثالث والذي مؤداه أنه لا يوجد أساس للتمييز بين الأطراف العراقية الخاصة والعامة فيما يتصل " بالديون والالتزامات العراقية الناشئة قبل 2 آب/أغسطس 1990 بمعنى قرار مجلس الأمن 687(1991) " .

In the case of these contracts, claims for compensation based on invoices dated prior to 2 May 1990 constitute debts and obligations of Iraq arising prior to 2 August 1990 and may not be the subject of compensation.4.
وفي حالة هذه العقود، تشكل المطالبات بالتعويض على أساس الفواتير المؤرخة قبل ٢ أيار/مايو ١٩٩٠ ديونا والتزامات على العراق نشأت قبل ٢ آب/أغسطس ١٩٩٠، ولا يجوز أن تكون موضع تعويض.
