In that connection, it was observed that that obligation depended on the contract from which the receivable arose and, in particular, on whether the account debtor had any defences or rights of set-off, as well as on the payment instructions given to the debtor.
وفي هذا الصدد لوحظ أن الالتزام يعتمد على العقد الذي نشأ عنه المستحق، ولا سيما على ما إذا كانت لدى صاحب الحساب المدين أية دفوع أو حقوق مقاصة. وكذلك على تعليمات السداد المعطاة للمدين.

In support of deletion, it was stated that the debtor's rights to raise defences or rights of set-off would only apply where the debtor wished to reduce or avoid payments that were yet to be made.
وقيل في تبرير حذفها ، أن حقوق المدين في اقامة دفوع أو حقوق في المقاصة لا تنطبق الا اذا أراد المدين أن يحد من المبالغ التي يتعين عليه سدادها أو أن يتفادى سداد هذه المبالغ .

(c) The debtor does not and will not have any defences or rights of set-off.
(ج) بأنه ليس للمدين، ولن يكون له، أي دفوع أو حقوق مقاصة.

Subparagraph (c) places on the assignor the risk of hidden defences or rights of set-off of the debtor that may defeat in whole or in part the assignee's claim.
118- وتلقي الفقرة الفرعية (ج) على عاتق المحيل المخاطر المتعلقة بوجود دفوع أو حقوق مقاصة غير معلنة لدى المدين قد تبطل مطالبة المحال اليه بصورة كلية أو جزئية.

" 1. In a claim by the assignee against the debtor for payment of the assigned receivables, the debtor may raise against the assignee all defences or rights of set-off arising from the original contract, or any other contract that was part of the same transaction, of which the debtor could avail itself if such claim were made by the assignor.
" 1- عندما يطالب المحال إليه المدين بسداد المستحقات المحالة، يجوز للمدين أن يتمسك تجاه المحال إليه بكل ما ينشأ عن العقد الأصلي وأي عقد آخر يشكّل جزءا من المعاملة ذاتها، من دفوع أو حقوق مقاصة كان يمكن للمدين أن يتمسك بها لو كانت تلك المطالبة صادرة عن المحيل.

In the normal case, it is presumed that (a) the assignor has the right to assign the receivable; (b) the receivable has not been previously assigned; and (c) the debtor of the receivable does not have any defences or rights of set-off that can be set up against the assignor.
وفي الحالة العادية يفترض (أ) أن المحيل له حق إحالة المستحق؛ (ب) لم تسبق إحالة المستحق؛ (ج) ليس للمدين بالمستحق أي دفوع أو حقوق في المقاصة يمكن التمسك بها تجاه المحيل.

In the normal case, it is presumed that (a) the assignor has the right to assign the receivable; (b) the receivable has not been previously assigned; and (c) the debtor of the receivable does not have any defences or rights of set-off that can be set up against the assignor.
وفي الحالة العادية يفترض ما يلي: (أ) أن المحيل لـه حق إحالة المستحق؛ (ب) لم تسبق إحالة المستحق؛ (ج) ليس للمدين بالمستحق أي دفوع أو حقوق في المقاصة يمكن التمسك بها تجاه المحيل.

While the thrust of that suggestion was found to be generally acceptable, the Working Group preferred a simpler formulation along the following lines: " the debtor does not have and will not have any defences or rights of set-off " .
وبينما اعتبر أن الفكرة الرئيسية لهذا الاقتراح مقبولة بصفة عامة ، فضّل الفريق العامل استخدام صيغة أكثر بساطة وفقا للعبارة التالية : " لا تكون للمدين أية دفوع أو حقوق مقاصة ولا تكون له أية دفوع أو حقوق مقاصة مستقبلا " .

However, any defences or rights of set-off that may be available to the licensee under law other than secured transactions law for breach of an agreement between the licensor and the licensee that the licensor will not assign its rights to the payment of royalties are not available to the licensee against the licensor's assignee (see recommendation 120).
إلا أن أي دفوع أو حقوق في المقاصة قد تكون متاحة للمرخَّص له بمقتضى قانون غير قانون المعاملات المضمونة بسبب الإخلال باتفاق بين المرخِّص والمرخَّص له يقتضي بألا يحيل المرخِّص حقوقه في تقاضي الإتاوات، لا تكون تلك الدفوع والحقوق متاحة للمرخَّص له تجاه المُحال إليه من المرخِّص (انظر التوصية 120).
