The law should provide that the law of the State in which the assignor is located governs the creation, third-party effectiveness and priority of a security right in a receivable arising from a sale, lease or security agreement relating to immovable property as against the rights of competing claimants.

2. Enforcement of a security right in a receivable

Under the law recommended in the Guide, a secured creditor with a security right in a receivable has the benefit of a security right in intellectual property securing payment of the receivable (see recommendation 25).

(a) A secured creditor with a security right in a receivable, negotiable instrument or any other intangible asset covered by this law has the benefit of any personal or property right that secures payment or other performance of the receivable, negotiable instrument or other obligation automatically, without further action by either the grantor or the secured creditor;
