18- الرئيس: قال ان المادة 8 هي قاعدة تنازع، وهي تحدد صحة شكل الاحالة بالنسبة لقانون الدولة التي يقع فيها مقر المحيل.

However, the law of the State in which the assignor was located might in turn determine the application of some other law which might well be a different one by virtue of the rules of private international law.
غير أن قانون الدولة التي يقع فيها مقر المحيل ربما يقرر بدوره انطباق قانون آخر قد يكون مختلفا عنه بحكم قواعد القانون الدولي الخاص.

One suggestion was that priority in proceeds of receivables should be left to the law of the country in which the assignor was located.
فجاء في أحد الاقتراحات أن اﻷولوية في عائدات المستحقات يجب أن تترك لقانون البلد الذي يوجد فيه مقر المحيل .

With the exception of matters that are settled elsewhere in this Convention and subject to articles 23 and 24, the law of the State in which the assignor is located governs the priority of the right of an assignee in the assigned receivable over the right of a competing claimant.
باستثناء المسائل التي تُسوَّى في مواضع أخرى من هذه الاتفاقية ورهنـا بالمادتين 23 و 24، تخضع لقانون الدولة التي يقع فيها مقر المحيل أولوية حق المحال إليه في المستحق المحال على حق مُطالِب مُنازِع.

The law should provide that the law of the State in which the assignor is located governs the creation, third-party effectiveness and priority of a security right in a receivable arising from a sale, lease or security agreement relating to immovable property as against the rights of competing claimants.
205- ينبغي أن ينص القانون على أن قانون الدولة التي يوجد فيها مقر المحيل يحكم إنشاء حق ضماني في مستحق ناشئ من بيع ممتلكات غير منقولة أو إيجارها أو إبرام اتفاق ضماني بشأنها ونفاذ ذلك الحق الضماني تجاه الأطراف الثالثة وأولويته على حقوق المطالبين المنافسين.

The law should provide that the law applicable to the creation, third-party effectiveness and priority of a security right in a receivable arising from a sale, lease or security agreement relating to immovable property is the law of the State in which the assignor is located.
206- ينبغي أن ينص القانون على أن قانون الدولة التي يقع فيها مقر المحيل يحكم إنشاء الحق الضماني في مستحق ناشئ من بيع ممتلكات غير منقولة أو تأجيرها أو إبرام اتفاق ضماني بشأنها ونفاذ ذلك الحق الضماني تجاه الأطراف الثالثة وأولويته.

“Where the assignor changes its location after the assignment, the assignee with priority under the law of the State in which the assignor was initially located retains its priority:
" حيثما يبدل المحيل موقع مقره بعد الاحالة ، فان المحال اليه ذا اﻷولوية بموجب قانون الدولة التي كان يقع فيها مقر المحيل في البداية ، يحتفظ بأولويته :

“(b) until priority would have ceased under the law of the State in which the assignor was initially located; or
" )ب( الى أن تنتهي اﻷولوية بموجب قانون الدولة التي كان يقع فيها مقر المحيل في البداية ؛ أو

(a) priority among several assignees of the same receivables from the same assignor is governed by the law of the State in which the assignor is located;
)أ( تخضع اﻷولوية بين عدد من المحال اليهم نفس المستحقات من نفس المحيل لقانون الدولة التي يقع فيها مقر المحيل ؛

(b) priority between an assignee and the assignor’s creditors is governed by the law of the State in which the assignor is located;
)ب( تخضع اﻷولوية بين المحال اليه ودائني المحيل لقانون الدولة التي يقع فيها مقر المحيل ؛

(c) priority between an assignee and the insolvency administrator is governed by the law of the State in which the assignor is located;
)ج( تخضع اﻷولوية بين المحال اليه ومدير الاعسار لقانون الدولة التي يقع فيها مقر المحيل ؛

" باستثناء المسائل التي تسوَّى في مواضع أخرى من هذه الاتفاقية، ورهنا بالمادتين 25 و26، يخضع لأحكام قانون الدولة التي يقع فيها مقر المحيل ما يلي:

" (a) With respect to the rights of a competing claimant, the law of the State in which the assignor is located governs:
" (أ) فيما يتعلق بحقوق مُطالِب مُنازِع، يخضع لأحكام قانون الدولة التي يقع فيها مقر المحيل ما يلي:

" 1. The application of a provision of the law of the State in which the assignor is located may be refused by a court or other competent authority only if that provision is manifestly contrary to the public policy of the forum State.
" 1- لا يجوز لأي محكمة أو هيئة مختصة أخرى أن ترفض تطبيق حكم من أحكام قانون الدولة التي يقع فيها مقر المحيل الا اذا كان ذلك الحكم يتعارض صراحة مع السياسة العامة لدولة تلك المحكمة أو الهيئة.

" 2. The application of a provision of the law of the State in which the assignor is located may be refused by a court or other competent authority only if that provision is manifestly contrary to the public policy of the forum State.
" 2- لا يجوز لأي محكمة أو هيئة مختصة أخرى أن ترفض تطبيق حكم من أحكام قانون الدولة التي يقع فيها مقر المحيل الا اذا كان ذلك الحكم يتعارض صراحة مع السياسة العامة لدولة تلك المحكمة أو الهيئة.

An assignment is valid as to form if it meets the form requirements, if any form requirements exist, of either the law of the State in which the assignor is located or any other law applicable by virtue of the rules of private international law.
تكون الإحالة صحيحة من حيث الشكل إذا كانت تفي باشتراطات الشكل، إن كانت هناك أي اشتراطات تتعلق بالشكل، يقتضيها قانون الدولة التي يقع فيها مقر المحيل أو أي قانون آخر منطبق بمقتضى قواعد القانون الدولي الخاص.

Under such an approach, it would be easier for the Working Group to agree on a private international law rule along the lines of draft articles 23 and 24 that provided for the application of the law of the country in which the assignor was located.
