1. The law applicable to the effectiveness of a security right in certificated non-intermediated securities as against the issuer is the law of the State under which the issuer is constituted.
1- القانون المنطبق على نفاذ الحق الضماني في الأوراق المالية غير المودعة لدى وسيط والممثلة بشهادات تجاه المُصدِر هو قانون الدولة الذي أُنشئ بمقتضاه الكيان المُصدِر.

4. The law applicable to the effectiveness against the issuer, the creation, the effectiveness against third parties, the priority and the enforcement of a security right in uncertificated non-intermediated securities is the law of the State under which the issuer is constituted.
4- القانون المنطبق على نفاذ الحق الضماني في الأوراق المالية غير المودعة لدى وسيط وغير الممثلة بشهادات تجاه المُصدِر وعلى إنشاء ذلك الحق الضماني ونفاذه تجاه الأطراف الثالثة وأولويته وإنفاذه هو قانون الدولة الذي أُنشئ بمقتضاه الكيان المُصدِر.

" 1. The law applicable to the effectiveness of a security right in certificated non-intermediated securities as against the issuer is the law of the State under which the issuer is constituted[, unless the issuer has chosen the law of another State, in which case the law of the State chosen by the issuer is the applicable law].
" 1- القانون المنطبق على نفاذ الحق الضماني في الأوراق المالية غير المودعة لدى وسيط والمشفوعة بشهادة تجاه المُصدِر هو قانون الدولة الذي أُنشئ المُصدِر بمقتضاه [، ما لم يكن المُصدِر قد اختار قانون دولة أخرى، ففي تلك الحالة يكون القانون المنطبق هو قانون الدولة التي اختارها المُصدِر].

(b) The law applicable to the effectiveness and priority of a security right in intellectual property as against the right of a transferee, licensee, or another secured creditor is the law of the State in which the intellectual property is protected; and
(ب) أن يكون القانون المنطبق على نفاذ الحق الضماني في الممتلكات الفكرية وأولويته تجاه حق المنقول إليه أو المرخّص له أو أي دائن مضمون آخر هو قانون الدولة التي تحظى فيها تلك الممتلكات بالحماية؛

(c) The law applicable to the effectiveness and priority of a security right in intellectual property as against all other claimants is the law of the State in which the grantor is located. "
(ج) أن يكون القانون المنطبق على نفاذ الحق الضماني في الممتلكات الفكرية وأولويته تجاه جميع المطالبين الآخرين هو قانون الدولة التي يقع فيها مقر المانح. "
