" 2- في اجراءات الاعسار التي تستهل في دولة غير الدولة التي يقع فيها مقر المحيل، اذا نشأ أي حق تفضيلي بمقتضى قانون دولة المحكمة وأعطي الأولوية على حقوق محال اليه في اجراءات اعسار تنظم في اطار قانون تلك الدولة، تكون لذلك الحق تلك الأولوية بصرف النظر عما تنص عليه المادة 24.

3. Notwithstanding paragraph 2 of this article, in an insolvency proceeding commenced in a State other than the State in which the assignor is located, any preferential right that arises, by operation of law, under the law of the forum State and is given priority over the rights of an assignee in insolvency proceedings under the law of that State may be given priority notwithstanding article 22.
3 - على الرغم مما تنص عليه الفقرة 2 من هذه المادة يجوز، في إجراءات الإعسار التي تبدأ في دولة غير الدولة التي يقع فيها مقر المحيل، وبصرف النظر عما تنص عليه المادة 22، إعطاء الأولوية لأي حق تفضيلي ينشأ، إعمالا للقانون، بمقتضى قانون دولة المحكمة وتُعطى لـه الأولوية على حقوق محال إليه في إجراءات الإعسار التي تُنظم بمقتضى قانون تلك الدولة.

It was stated that the " extent " of an assignee's right was an ambiguous term.
وأشير الى أن " مدى " حق المحال اليه هو تعبير غامض.

It was also explained that the priority rules in the annex should cover the characteristics of the right of an assignee and conflicts of priority in receivables and proceeds to the extent those matters were covered in draft article 24.
وأُوضح أيضا أن قواعد الأولوية الواردة في المرفق ينبغي أن تشمل الخصائص التي تميز حق المحال اليه ومنازعات الأولوية في المستحقات والعائدات، بحسب شمول هذه المسائل في مشروع المادة 24.

فعندما يكون باستطاعة المحيل الحصول على الائتمان بناء على مستحقاته، يرجّح أن يكون على استعداد إلى تقديم ائتمان إلى المدين بالمستحق؛ ويصبّ نفاذ الإحالة أيضا في مصلحة المحال إليه الذي يقدّم ائتمانا إلى المحيل.

1. The law of the State in which the assignor is located governs the priority of the right of an assignee in the assigned receivable over the right of a competing claimant.
1 - يكون قانون الدولة التي يقع فيها مقر المحيل هو الذي يحكم أولوية حق المحال إليه في المستحق المحال على حق مُطالِب مُنازِع.

In an insolvency proceeding opened in a State other than the State of the assignor's location, the forum may apply its own priority rule and give priority to super-priority rights that arise by operation of law of the forum, provided that they would have priority over the rights of an assignee under the law of the forum.
ففي اجراءات الاعسار التي تستهل في دولة غير دولة مقر المحيل، يجوز للمحكمة أن تطبق قاعدتها الخاصة بشأن الأولوية وتعطي الأولوية لحقوق تفضيلية قد تنشأ إعمالا لقانون دولة المحكمة، شريطة أن تكون لهذه الحقوق أولوية على حقوق محال اليه بمقتضى قانون دولة المحكمة.

Article 24, paragraph 1 (b), appropriately addresses the characteristics and priority of the right of an assignee vis-à-vis a competing claimant.
فالمادة 24، الفقرة 1 (ب) تتناول على نحو سليم خصائص وأولوية حق محال اليه في مواجهة مطالب منازع.

3 - بصرف النظر عما تنص عليه الفقرة 2 من هذه المادة يجوز، في إجراءات الإعسار التي تبدأ في دولة غير الدولة التي يقع فيها مقر المحيل، وبصرف النظر عما تنص عليه الفقرة 1 من هذه المادة، إعطاء الأولوية لأي حق تفضيلي يَنشأ، إعمالا للقانون، بمقتضى قانون دولة المحكمة وتُعطى له الأولوية على حقوق محال إليه في إجراءات الإعسار التي تُنظم بمقتضى قانون تلك الدولة.
