As provided in the regulations, the data registered shall be the identification of the assignor and the assignee and a brief description of the assigned receivables.
ويتعين أن تتضمن البيانات المسجلة، حسبما تنص على ذلك اللوائح، هوية كل من المحيل والمحال اليه ووصفا موجزا للمستحق المحال.

The data to be registered, under paragraph 1, include identification of the assignor and the assignee and a brief description of the assigned receivables.

٣٦ - انتقل الفريق العامل بعد ذلك الى مسألة ما اذا كان حق المحال اليه في عائدات المستحقات المحالة حقا شخصيا أم حقا عينيا (ad personam or in rem right) .

It was further observed that, in view of its inconsistency with basic principles of national law in many jurisdictions, an approach based on a right in rem of the assignee in the proceeds of the assigned receivables could jeopardize the acceptability of the draft Convention to many States.
وأبديت أيضا ملاحظة مفادها أن اتباع نهج يستند الى حق عيني للمحال اليه في عائدات المستحقات المحالة يمكن أن يضر بمقبولية مشروع الاتفاقية لدى بعض الدول بالنظر الى عدم اتساقه مع مبادىء القانون الوطني اﻷساسية في كثير من الاختصاصات القضائية .

In support of that suggestion, it was stated that such an approach would provide the desirable degree of certainty, since the same law would apply irrespective of the country in which the assignor's creditors might obtain a court judgement ordering the attachment of the assigned receivables or of the country in which enforcement of the claims of the assignor's creditors might be sought.
وقيل تأييدا لذلك الاقتراح إن ذلك النهج سيهيىء درجة اليقين المستصوبة ، ﻷن نفس القانون سينطبق أيا كان البلد الذي قد يحصل فيه دائنو المحيل على حكم محكمة يأمر بالحجز على المستحقات المحالة وأيا كان البلد الذي قد يسعى فيه دائنو المحيل الى الحصول على انفاذ مطالباتهم .

It was observed that, in view of the risk that, after the conclusion of the contract of assignment, the assignor might assign the same receivables to another assignee or become insolvent, it was essential to set the time of the transfer of the assigned receivables at the time of the conclusion of the contract of assignment.
ولوحظ أنه ، بالنظر الى احتمال أن يقوم المحيل ، بعد ابرام عقد الاحالة ، باحالة نفس المستحقات الى محال اليه آخر أو أن يصبح المحيل معسرا ، فمن الضروري تحديد وقت نقل المستحقات المحالة بوقت ابرام عقد الاحالة .

" (1) Unless otherwise provided by law or by agreement between the assignor and the assignee, any personal or property rights securing payment of the assigned receivables are transferred to the assignee without a new act of transfer.
" )١( ما لم ينص على غير ذلك في قانون أو اتفاق بين المحيل والمحال اليه ، تكون أي حقوق شخصية أو امتلاكية تضمن سداد المستحقات المحالة منقولة الى المحال اليه دون حاجة الى عملية نقل جديدة .

" (2) Without prejudice to the rights of parties in possession of the goods, a right securing payment of the assigned receivables is transferred to the assignee, notwithstanding any agreement between the assignor and the debtor, or the person granting the security right, limiting in any way the assignor's right to assign such a security right.
" )٢( دون مساس بحقوق اﻷطراف التي توجد السلع في حوزتها ، يكون الحق الذي يضمن سداد المستحقات المحالة منقولا الى المحال اليه ، على الرغم من وجود أي اتفاق بين المحيل والمدين ، أو الشخص الذي يمنح الحق الضماني ، يقيد بأي شكل من اﻷشكال حق المحيل في احالة هذا الحق الضماني .

(1) In a claim by the assignee against the debtor for payment of the assigned receivables, the debtor may raise against the assignee all defences or rights of set-off arising from the original contract [or from a decision of a judicial or other authority giving rise to the assigned receivable] of which the debtor could avail itself if such claim were made by the assignor.
)١( عند مطالبة المحال اليه المدين بسداد المستحقات المحالة ، يجوز للمدين أن يتمسك تجاه المحال اليه بجميع الدفوع أو حقوق المقاصة الناشئة عن العقد اﻷصلي ]أو عن أي قرار صادر عن هيئة قضائية أو هيئة أخرى ينشأ عنه المستحق المحال[ والتي كان بامكان المدين التمسك بها لو كانت تلك المطالبة صادرة عن المحيل .

" )١( في حال وجود مطالبة من جانب المحال اليه ازاء المدين بسداد المستحقات المحالة ، يجوز للمدين أن يقيم ضد المحال اليه جميع الدفوع الناشئة عن العقد اﻷصلي ]أو عن أي قرار صادر عن هيئة قضائية أو هيئة أخرى يقضي بانشاء المستحق المحال[ التي كان يمكن للمدين اغتنامها لو كانت تلك المطالبة موجهة من جانب المحيل .
