The Working Group had agreed that the work should constitute part three of the Legislative Guide on Insolvency Law, addressing both the domestic and international aspects of enterprise groups.

32- لاحظ الفريق العامل أنَّ التوصيتين 251 و252 الواردتين في الجزء الثالث من الدليل التشريعي تتحدَّثان عن إمكانية التشارك في تعيين ممثلي الإعسار في السياق الدولي.

The Secretariat was requested to place the draft recommendation in the appropriate position in the revised text of part three of the Legislative Guide.
21- وطُلب إلى الأمانة أن يُدرَج مشروع التوصية في المكان المناسب في النص المنقّح للجزء الثالث من الدليل التشريعي.

The Working Group was further informed that the ICR Standard was currently in the process of being updated to take into account part three of the Legislative Guide.
وأُبلغ الفريق العامل أيضا بأنه يجري حالياً تحديث معيار الإعسار وحقوق الدائنين، لكي يأخذ بعين الاعتبار الجزء الثالث من الدليل التشريعي.

The Working Group recalled its decision at its thirty-seventh session to include a statement of general purpose for the recommendations applicable to enterprise groups in part three of the Legislative Guide.
15- أشار الفريق العامل إلى ما كان قد قرّره في دورته السابعة والثلاثين من إضافة بيان يوضِّح الغرض العام للتوصيات المنطبقة على مجموعات المنشآت في الجزء الثالث من الدليل التشريعي.

The Working Group requested the Secretariat to make the necessary adjustments to the draft of part three of the Legislative Guide as agreed upon at the current session.
93- وطلب الفريق العامل إلى الأمانة إدخال التعديلات اللازمة على مشروع الجزء الثالث من الدليل التشريعي على النحو الذي اتُّفق عليه في الدورة الجارية.

The Working Group commenced its work with a discussion on the inclusion of a general purpose clause for the recommendations applicable to enterprise groups in part three of the Legislative Guide.
12- بدأ الفريق العامل عمله بمناقشة حول إدراج حكم متعلق بالغرض العام بالنسبة للتوصيات المنطبقة على مجموعات المنشآت في الجزء الثالث من الدليل التشريعي.

It was generally agreed that there was a need to include a statement of general purpose for the recommendations applicable to enterprise groups in part three of the Legislative Guide.
13- اتُّفق بوجه عام على الحاجة إلى إدراج بيان يوضّح الغرض العام للتوصيات المنطبقة على مجموعات المنشآت في الجزء الثالث من الدليل التشريعي.

As to adding material to the Guide to Enactment, while some reservations were expressed as to the appropriateness of that course of action, it was agreed that reference should be made to part three of the Legislative Guide and the solutions adopted with respect to the treatment of groups in insolvency, particularly in the international context.

إلاَّ أنَّ الجزء الثالث من الدليل التشريعي لقانون الإعسار يتناول معاملةَ مجموعات المنشآت المعسرة؛ وتركِّز التوصياتُ 240 إلى 254 على التعاون والتواصل من أجل تيسير تنفيذ إجراءات الإعسار عبر الحدود عندما تتعلق تلك الإجراءات بأعضاء في مجموعة منشآت. "

The Working Group noted that recommendation 238 of part three of the Legislative Guide permitted, in a domestic context, a solvent group member to voluntarily participate in a reorganization plan proposed for one or more members of an enterprise group that were subject to insolvency proceedings.
24- ولاحظ الفريق العامل أنَّ التوصية 238 الواردة في الجزء الثالث من الدليل التشريعي تجيز، في السياق المحلي، لعضو المجموعة الموسر أن يشارك طواعيةً في خطة إعادة تنظيم مقترحة لعضو واحد أو أكثر من أعضاء مجموعة المنشآت خاضعٍ لإجراءات إعسار.

The Working Group proceeded to adopt the draft of part three of the Legislative Guide on the treatment of enterprise groups as contained in documents A/CN.9/WG.V/WP.92 and Add.1 and recommended it to the Commission for possible finalization and adoption at its forty-third session in 2010.
وشرع الفريق العامل في اعتماد مشروع الجزء الثالث من الدليل التشريعي بشأن معاملة مجموعات المنشآت بصيغته الواردة في الوثيقتين A/CN.9/WG.V/WP.92 وAdd.1، وأوصى به اللجنة توخّياً لوضعه في صيغته النهائية واعتماده في دورتها الثالثة والأربعين في عام 2010.

The Working Group noted that part three of the Legislative Guide (recommendations 240-250) already dealt with many of the issues of cooperation and coordination that might be relevant in the group context and considered whether further provisions might be required.
23- لاحظ الفريق العامل أنَّ الجزء الثالث من الدليل التشريعي (التوصيات 240 إلى 250) يتناول أصلا العديد من المسائل المتعلقة بالتعاون والتنسيق التي قد تكون لها أهميتها في سياق مجموعة المنشآت؛ ونظر الفريق العامل في مدى الحاجة إلى أحكام إضافية.

A number of States reported on recent activity to enact UNCITRAL insolvency texts into national law, specifically part three of the Legislative Guide on Insolvency Law and the Model Law on Cross-Border Insolvency, including both legislation that had entered into force and proposed legislation that was currently being drafted or considered.
وأبلغت دُوَلٌ عمَّا قامت به مؤخّراً في مجال إدراج نصوص الأونسيترال المتعلقة بالإعسار في قوانينها الوطنية، وخصوصاً الجزء الثالث من الدليل التشريعي لقانون الإعسار والقانون النموذجي بشأن الإعسار عبر الحدود، بما في ذلك التشريعات التي دخلت فعلاً حيّز النفاذ والتشريعات المقترحة التي يجري حالياً صوغها أو النظر فيها.

At its thirty-sixth session, the Working Group decided that the draft recommendations on the international treatment of enterprise groups in insolvency should be included in part three of the Legislative Guide and adopt the same format as the preceding parts of the Legislative Guide (see A/CN.9/671, para. 55).
وقرّر الفريق العامل، في دورته السادسة والثلاثين، أن تُدرَج مشاريع التوصيات بشأن المعاملة الدولية لمجموعات المنشآت في سياق الإعسار في الجزء الثالث من الدليل التشريعي وأن تعتمد نفس الشكل الوارد في الأجزاء السابقة من الدليل التشريعي (انظر الوثيقة A/CN.9/671، الفقرة 55).

This note sets forth amendments and additions to the draft of part three of the Legislative Guide on Insolvency Law (as contained in documents A/CN.9/WG.V/WP.92 and Add.1), based upon the deliberations and decisions of Working Group V at its thirty-eighth session from 19-23 April 2010 (see document A/CN.9/691 for the report of that meeting).
1- يرد في هذه المذكّرة ما أُدخل على مشروع الجزء الثالث من الدليل التشريعي لقانون الإعسار (بصيغته الواردة في الوثيقتين A/CN.9/WG.V/WP.92 وAdd.1) من تعديلات وإضافات، استناداً إلى مداولات الفريق العامل الخامس وقراراته المتخذة خلال دورته الثامنة والثلاثين المعقودة في الفترة من 19 إلى 23 نيسان/أبريل 2010 (انظر الوثيقة A/CN.9/691 للاطلاع على تقرير تلك الدورة).

The Secretariat was requested to place the new purpose clause in the appropriate position in the revised text of part three of the Legislative Guide.
16- وطُلب إلى الأمانة أن تضع الحكم الجديد المتعلق بالغرض في المكان المناسب في النص المنقّح للجزء الثالث من الدليل التشريعي.

With respect to the general purpose clause for the recommendations applicable to enterprise groups in insolvency, we consider that the proposed text prepared by the Secretariat, as set out in paragraph 15 of document A/CN.9/686, should be included in the revised version of part three of the Legislative Guide.
15- فيما يخص الحكم المتعلق بالغرض العام من التوصيات المنطبقة على مجموعات المنشآت في سياق الإعسار، نرى أن النص المقترح الذي أعدّته الأمانة، بصيغته الواردة في الفقرة 15 من الوثيقة A/CN.9/686 ينبغي إدراجه في الصيغة المنقّحة للجزء الثالث من الدليل التشريعي.
