10. The III urges UNCITRAL to develop model guidelines on director and officer responsibilities and liabilities in insolvency and pre-insolvency cases.

2. Recently there has been an increased focus on director and officer responsibilities and liabilities in insolvency and pre-insolvency proceedings, fuelled in part by the widely publicized cases of WorldCom, Parmalat and Enron, highlighting alleged corporate fraud and self-dealing.
2- وقد ازداد التركيز في الآونة الأخيرة على المسؤوليات والتبعات الواقعة على كاهل المديرين والموظفين في إجراءات الإعسار وما قبل الإعسار، لأسباب منها الأصداء الواسعة لقضايا وورلدكوم (WorldCom) وبارمالات (Parmalat) وإنرون (Enron) بما أبرزته من مزاعم بحدوث احتيال وتعامل ذاتي المنفعة من جانب مديري تلك الشركات.
