Such notifications were said to be merely intended to cut off any rights of set-off that the debtor might acquire based on dealings with the assignor that were unrelated to the original contract.
وقيل ان الاشعارات التي من هذا القبيل لا يراد بها سوى الحرمان من أية حقوق مقاصة قد يكتسبها المدين استنادا الى معاملات مع المحيل لا صلة لها بالعقد اﻷصلي .

It also ensures that, once a receivable arises, the debtor cannot accumulate rights of set-off from unrelated contracts with the assignor or modify the original contract without the consent of the assignee.
وهو يكفل أيضا أن المدين لا يستطيع، حالما ينشأ المستحق، أن يجمع حقوق مقاصة من عقود مع المحيل غير ذات صلة فيما بينها أو يعدل العقد الأصلي بدون موافقة المحال اليه.

Such an agreement precludes the debtor from raising against the assignee those defences and rights of set-off.
ويمنع ذلك الاتفاق المدين من التمسك بتلك الدفوع وحقوق المقاصة تجاه المحال إليه.

If the fact that the debtor cannot accumulate rights of set-off constitutes an unacceptable hardship for the debtor, the debtor can avoid entering into new dealings with the assignor.
واذا كان عدم تمكن المدين من الجمع بين حقوق المقاصة في الحالتين يشكل مشقة غير مقبولة للمدين، فيمكن للمدين تفادي الدخول في معاملات جديدة مع المحيل.

In such a case, a debtor concerned about losing rights of set-off that may arise from contracts unrelated to the original contract could discontinue its relationship with the assignee.
وفي هذه الحالة يمكن للمدين الذي يخشى من فقد حقوق المقاصة التي قد تنشأ عن عقود لا صلة لها بالعقد الأصلي أن يقطع علاقته بالمحال اليه.

18. This principle should not, however, prevent the debtor of the receivable from agreeing that it may not raise against an assignee defences or rights of set-off that it could otherwise raise against the assignor.
18- غير أن هذا المبدأ لا ينبغي أن يمنع المدين بالمستحق من الموافقة على عدم التمسك تجاه المحال إليه بالدفوع أو حقوق المقاصة التي كان يمكن أن يتمسك بها تجاه المحيل.

It was stated that such an exception would result in a notification that did not identify the payee cutting off rights of set-off that might become available to the debtor after notification.
وقيل ان هذا الاستثناء سيؤدي الى اشعار لا يحدد المستفيد مما يسقط حقوق المقاصة التي قد تصبح متاحة للمدين بعد الاشعار .

Moreover, it was said that draft article 29 might be sufficient to refer rights of set-off arising from the original contract and related contracts to the law governing the original contract.
وقيل علاوة على ذلك إن مشروع المادة 29 قد يكون كافيا للرجوع بشأن حقوق المقاصة الناشئة عن العقد الأصلي وما يتصل به من عقود، إلى القانون الذي يحكم العقد الأصلي.

It was further suggested that the commentary could usefully clarify that rights of set-off arising from the original contract or related contracts were subject to the law of the original contract.
واقترح كذلك أن التعليق يمكن أن يوضح بشكل مفيد بأن حقوق المقاصة الناشئة عن العقد الأصلي أو العقود ذات الصلة تخضع للقانون الذي يحكم العقد الأصلي.

In that connection, it was observed that that obligation depended on the contract from which the receivable arose and, in particular, on whether the account debtor had any defences or rights of set-off, as well as on the payment instructions given to the debtor.
وفي هذا الصدد لوحظ أن الالتزام يعتمد على العقد الذي نشأ عنه المستحق، ولا سيما على ما إذا كانت لدى صاحب الحساب المدين أية دفوع أو حقوق مقاصة. وكذلك على تعليمات السداد المعطاة للمدين.

(c) The debtor does not and will not have any defences or rights of set-off.

Subparagraph (c) places on the assignor the risk of hidden defences or rights of set-off of the debtor that may defeat in whole or in part the assignee's claim.
118- وتلقي الفقرة الفرعية (ج) على عاتق المحيل المخاطر المتعلقة بوجود دفوع أو حقوق مقاصة غير معلنة لدى المدين قد تبطل مطالبة المحال اليه بصورة كلية أو جزئية.

A notification given in violation of an agreement between the assignor and the assignee, however, does not cut off any rights of set-off of the debtor from contracts unrelated to the original contract (see article 20).
بيد أن الاشعار الموجه بشكل مخل باتفاق جرى بين المحيل والمحال اليه لا يحول دون حصـول المدين على أي حقوق مقاصة ناشئة عن عقود ليست لها صلة بالعقد الأصلي (انظر المادة 20).

Under our national law any waiver of future defences and rights of set-off is prohibited.
إذ يحظر قانوننا الوطني التنازل عن أي دفوع وأي حقوق في المقاصة يمكن التمسك بها في المستقبل.
