Either party should have the right to terminate the project agreement in the event that the performance of its obligations is rendered impossible by the occurrence of circumstances beyond either party’s reasonable control.
التوصية ٤٦- ينبغي أن يكون ﻷي من الطرفين الحق في انهاء اتفاق المشروع في حال أن أصبح أداء التزاماتهما مستحيلا من جراء حدوث ظروف تتجاوز النطاق المعقول لسلطة أي من ذينك الطرفين.

The concessionaire is usually not allowed the right to terminate the project agreement unilaterally, but in the general contracting practice of some countries such a right may be exercised by government agencies, subject to payment of compensation.

Moreover, the Legislative Guide recognized that some legal systems did not recognize the concessionaire's right to terminate the project agreement unilaterally, but only the right to request a third party, such as the competent court, to declare the termination of the project agreement (chap. V, " Duration, extension and termination of the project agreement " , para. 28).

It should also be noted that giving the contracting authority the unilateral right to terminate the project agreement would not be an adequate substitute for well-designed contractual mechanisms of performance monitoring or for appropriate guarantees of performance (see chap. V, “Infrastructure development and operation”, ___).

Lastly, it is advisable to provide that, if the event in question is of a permanent nature, the parties may have the option to terminate the project agreement (see also chap. V, “Duration, extension and termination of the project agreement”, ___).
