Where the encumbered asset is intellectual property, it is important to determine whether the asset that is disposed of to the transferee or licensee is simply the intellectual property as it existed at the time the security right became effective against third parties or whether it also includes any subsequent enhancements to it (for example, an improvement to a patent or an adaptation of copyrighted work).
