49. The law should provide that a security right in proceeds under an independent undertaking is made effective against third parties by control with respect to the proceeds under the independent undertaking.
49- ينبغي أن ينص القانون على أن الحق الضماني في العائدات بمقتضى تعهد مستقل يُجعل نافذا تجاه الأطراف الثالثة بواسطة السيطرة فيما يتعلق بالعائدات بمقتضى التعهد المستقل.

However, in the case of a nominated person that has not issued an independent undertaking, the applicable law is the law of the State of the location of the nominated person's branch or office that has or may pay or otherwise give value under the independent undertaking.
أما إذا لم يُصدر الشخص المسمّى تعهدا مستقلا، فيكون القانونُ المنطبق هو قانونَ الدولة التي يقع فيها فرع الشخص المسمّى أو مكتبه الذي قام، أو قد يقوم، بالسداد أو قد يعطي أموالا بطريقة أخرى بمقتضى التعهد المستقل.

Similarly, to avoid undermining the independence of the undertaking, a transferee-beneficiary normally takes the undertaking without being affected by a security right in the proceeds under the independent undertaking of a transferor.

27- ينبغي أن ينص القانون على جواز قيام المستفيد من تعهد مستقل بإنشاء حق ضماني في الحق في تقاضي عائدات بمقتضى تعهد مستقل ، حتى إذا لم يكن الحق في السحب بمقتضى التعهّد المستقل في حدّ ذاته قابلا للإحالة بمقتضى القانون والممارسة اللذين يحكمان التعهّدات المستقلة.

(c) The independent rights of a guarantor/issuer, confirmer, nominated person or transferee of an independent undertaking are not adversely affected by reason of any security right it may have in the right to receive proceeds under the independent undertaking.
(ج) أن الحقوق المستقلة التي يتمتع بها الكفيل/المُصدر أو المُثبت أو الشخص المسمى أو من يحال إليه تعهّد مستقل لا تتضرّر بسبب أي حقوق ضمانية قد تكون لـه في حق الحصول على العائدات بمقتضى التعهّد المستقل.

If the personal or property right is an independent undertaking, its third-party effectiveness automatically extends to the proceeds under the independent undertaking (but, as provided in recommendation 26, subparagraph (b), the security right does not extend to the right to draw under the independent undertaking).
وإذا كان الحق الشخصي أو حق الملكية تعهّدا مستقلا فإن نفاذه تجاه الأطراف الثالثة يمتد تلقائيا إلى العائدات بمقتضى التعهد المستقل (ولكن، على نحو ما تنص عليه الفقرة الفرعية (ب) من التوصية 26، لا يمتد الحق الضماني إلى الحق في السحب بمقتضى التعهّد المستقل).

(c) The independent rights of a guarantor/issuer, confirmer, nominated person or transferee of an independent undertaking are not adversely affected by reason of any security right it may have in rights in proceeds under the independent undertaking, including any right in proceeds under the independent undertaking resulting from a transfer of drawing rights to a transferee.
(ج) أن الحقوق المستقلة التي يتمتع بها الكفيل/المُصدر أو المُثبت أو الشخص المسمى أو من يحال إليه تعهّد مستقل لا تتضرر بسبب أي حقوق ضمانية قد تكون لـه في الحقوق في العائدات بمقتضى التعهّد المستقل، بما في ذلك أي حق في العائدات بمقتضى التعهّد المستقل يترتب على إحالة حقوق السحب إلى المحال إليه.

However, to prevent misunderstanding, he proposed restructuring the second half of the sentence to read: " ... right to receive the proceeds created by the transferor or any prior transferor under the independent undertaking " .
واستدرك قائلا إنه درءا لأي سوء فهم، يقترح إعادة ترتيب الجزء الثاني من الجملة ليصبح كالتالي: " ... حق الحصول على العائدات الذي ينشئه المحيل أو أي محيل سابق آخر بمقتضى التعهّد المستقل " .

240. Third, the recommendation does not affect in any way the rights of the guarantor/issuer, confirmer or any nominated person under the independent undertaking.
240- والسبب الثالث هو أنّ هذه التوصية لا تمس بأي شكل من الأشكال حقوق الكفيل/المصدر أو المثبت أو أي شخص آخر مسمّى بمقتضى التعهد المستقل.

25. The law should provide that a beneficiary may grant a security right in proceeds under an independent undertaking, even if the right to draw under the independent undertaking is not itself transferable under law and practice governing independent undertakings.
25- ينبغي أن ينص القانون على أنّه يجوز للمستفيد أن يمنح حقا ضمانيا في العائدات بمقتضى تعهد مستقل، حتى إذا لم يكن الحق في السحب بمقتضى التعهد المستقل في حدّ ذاته قابلا للإحالة بمقتضى القانون والممارسة اللذين يحكمان التعهدات المستقلة.

[Note to the Commission: The Commission may wish to note that the commentary will make clear that the second part of the first sentence makes clear the important point that transferability of an independent undertaking itself (i.e. the right to draw) is irrelevant to the right to create a security right in the proceeds under the independent undertaking.

(c) Except to the extent otherwise provided in recommendation 210, the effectiveness against third parties and the priority as against the rights of competing claimants of a security right in proceeds under the independent undertaking.
