The project agreement should lay down the criteria for establishing, as appropriate, the compensation to which the concessionaire may be entitled in respect of assets transferred to the contracting authority or to a new concessionaire or purchased by the contracting authority upon expiry or termination of the project agreement.
التوصية ٥٦- ينبغي أن يبين اتفاق المشروع المعايير المتوخاة حسب الاقتضاء لتحديد التعويض الذي يجوز أن يستحق لصاحب الامتياز بخصوص الموجودات المنقولة ملكيتها الى السلطة المتعاقدة أو الى صاحب امتياز جديد أو المشتراة من جانب السلطة المتعاقدة عند انقضاء مدة اتفاق المشروع أو انهائه.

160. Some support was expressed for the view that the phrase " upon expiry or termination of the concession contract " should be added to subparagraphs (b) and (c).
160- وأعرب عن بعض التأييد للرأي القائل بأن عبارة " عند انقضاء عقد الامتياز أو انهائه " ينبغي أن تضاف إلى الفقرتين الفرعيتين (ب) و (ج).

It was explained that there was no need to deal expressly with the suspension or termination of an interim measure by an arbitral tribunal, since no ground could be invoked for the recognition and enforcement of such a measure, and no need for specific provisions on setting aside of the interim measure by a competent court, since such setting aside would be governed by applicable rules of domestic procedural law.
وأوضح أنه لا حاجة إلى تناول وقف التدبير المؤقت أو انهائه من قبل هيئة التحكيم تناولا صريحا لأنه لا يمكن التذرّع بأي سبب للاعتراف بذلك التدبير وانفاذه، ولا حاجة إلى أحكام محددة بشأن إلغاء التدبير المؤقت من قبل محكمة مختصة لأن هذا الالغاء سيكون خاضعا لقواعد القانون الاجرائي الداخلي المنطبقة.

The Working Group therefore agreed that the text of the draft model provision should be preserved and that the words " upon expiry or termination of the concession contract " should be added at the end of the footnote to the provision, followed by the words " or at any other time " , although it was understood that the appropriate place for the new words might need to be considered further.
ولذلك اتفق الفريق العامل على المحافظة على صلب نص مشروع الحكم النموذجي وعلى اضافة عبارة " عند انقضاء عقد منح الامتياز أو انهائه " في نهاية حاشية الحكم على أن تتبعها عبارة " أو في أي وقت آخر " ، وذلك بالرغم من التوصل إلى فهم مفاده أن المكان المناسب للعبارة الجديدة قد يحتاج إلى مزيد من النظر.

In those cases, any provision " that allows a contract of sale or its modification or termination by agreement or any offer, acceptance or other indication of intention to be made in any form other than in writing does not apply " (art. 12).
وفي تلك الحالات " لا يُطبق أي حكم يسمح باتخاذ أي شكل غير الكتابة لانعقاد عقد البيع أو تعديله أو انهائه رضائيا أو لوقوع الايجاب والقبول أو الاعلان عن قصد أحد الطرفين " (المادة 12).

(a) Identify the categories of assets that the concessionaire is required to transfer to the contracting authority upon expiry or termination of the project agreement and lay down the criteria for establishing, as appropriate, the compensation to which the concessionaire may be entitled in that respect;
)أ( أن يحدد فئات اﻷصول التي يلزم أن ينقلها صاحب الامتياز الى الهيئة المتعاقدة عند انتهاء اتفاق المشروع أو انهائه وأن يضع المعايير لتحديد التعويض الذي قد يستحقه صاحب الامتياز في هذا الصدد حسب الاقتضاء ؛

The project agreement should identify which assets the concessionaire is required to transfer to the contracting authority or to a new concessionaire upon expiry or termination of the project agreement; which assets the contracting authority, at its option, may purchase from the concessionaire; and which assets the concessionaire may freely remove or dispose of upon expiry or termination of the project agreement.
وينبغي أن يحدد اتفاق المشروع ما هي الموجودات التي يلزم صاحب الامتياز بنقل ملكيتها الى السلطة المتعاقدة أو الى صاحب امتياز جديد عند انقضاء اتفاق المشروع أو انهائه؛ وما هي الموجودات التي يجوز للسلطة المتعاقدة أن تشتريها، بناء على اختيارها، من صاحب الامتياز؛ وما هي الموجودات التي يجوز لصاحب الامتياز اذا شاء أن يزيلها أو يتصرف بها عند انقضاء اتفاق المشروع أو انهائه.
