It is possible that the contract, the arbitration agreement or any other legal instrument from or as a result of which the dispute arises may not have been agreed upon, may not exist in writing or may not be recorded in a document of which a copy can be made.
ومن الممكن ألاّ يُتفق على عقد أو اتفاق التحكيم أو أي صك قانوني آخر نشأت المنازعة عنه أو نتيجة له، أو ألا يوجد في شكل كتابي أو ألا يسجَّل في وثيقة يمكن أخذ نسخة منها.

In its views, this provision only applies when the award deals with disputes not contemplated by the arbitration agreement, or not falling within the terms of the submission to arbitration, or contains decisions on matters beyond the scope of submission to arbitration.
فهي ترى أن ذلك البند لا ينطبق إلا عندما يخص الحكم نزاعات لم ينص عليها اتفاق التحكيم أو لا تنطبق عليه شروط العرض على التحكيم، أو يتضمن قرارات أو أموراً تقع خارج نطاق العرض على التحكيم.

It was said that that modification could introduce inconsistency between the Arbitration Model Law and article IV of New York Convention, which required that the arbitration agreement or a certified copy thereof be presented.
وقيل إن ذلك التعديل يمكن أن يسبب عدم اتساق بين القانون النموذجي للتحكيم والمادة الرابعة من اتفاقية نيويورك، التي تشترط تقديم اتفاق التحكيم أو صورة مصدّقة منه.

A declaration encouraging the application of more favourable legislation would have the added advantage of overcoming the requirement in article IV of the New York Convention regarding the presentation of an original of the arbitration agreement or a certified true copy.

(3) An arbitration agreement is in writing if its content is recorded in any form, whether or not the arbitration agreement or contract has been concluded orally, by conduct, or by other means.
(3) يكون اتفاق التحكيم كتابيا إذا كان محتواه مدوّنا في أي شكل، سواء أكان أم لم يكن اتفاق التحكيم أو العقد قد أُبرم شفويا أو بواسطة تصرف أو بوسيلة أخرى.

Most of the legislation requires either that such agreement has to have been expressed in the arbitration agreement or otherwise, or, that the application is to be brought with the consent of all of the parties.

152. Various proposals were made to amend paragraph 3. One proposal was to add as the opening words of paragraph 3: " Without prejudice to the parties' consent in the arbitration agreement or contract " in order to emphasize the importance of the consent of the parties.
152- وقُدِّمت اقتراحات مختلفة لتعديل الفقرة (3)، منها اقتراح يدعو إلى إضافة العبارة الافتتاحية التالية: " دون الإخلال بموافقة الطرفين في اتفاق التحكيم أو العقد " للتأكيد على أهمية موافقة الطرفين.

(3) An arbitration agreement is in writing if its [terms are] [content is] recorded in any form, whether or not the arbitration agreement or contract has been concluded orally, by conduct, or by other means.
(3) يكون اتفاق التحكيم كتابيا [إذا كانت أحكامه مدوّنة] [إذا كان محتواه مدوّنا] في أي شكل، سواء أكان أم لم يكن اتفاق التحكيم أو العقد قد أُبرم شفويا أو بواسطة تصرف أو بوسيلة أخرى.

It was stated that the New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards (the " New York Convention " ) and UNCITRAL Model Law on International Commercial Arbitration provided safeguards for consumers, for example in that consumers could object to the validity of the arbitration agreement or award at the stage of enforcement.
30- وذُكِر أنَّ اتفاقية نيويورك بشأن الاعتراف بقرارات التحكيم الأجنبية وتنفيذها ( " اتفاقية نيويورك " ) وقانون الأونسيترال النموذجي للتحكيم التجاري الدولي يوفِّران ضمانات للمستهلكين من حيث تمكين المستهلكين مثلاً من الطعن في صحة اتفاق التحكيم أو قرار التحكيم أثناء مرحلة الإنفاذ.

Another proposal, aimed at clarifying the meaning of paragraph 3 was as follows: " The form prescribed in paragraph 2 is met if the content of the arbitration agreement is recorded in any form, an arbitration agreement is in writing, whether or not the arbitration agreement or contract has been concluded orally, by conduct, or by other means " .
واستهدف أحد الاقتراحات توضيح معنى الفقرة (3) على النحو التالي: " يكون الشكل المنصوص عليه في الفقرة (2) مستوفى إذا كان محتوى اتفاق التحكيم مدونا في أي شكل من الأشكال أو مكتوبا، سواء كان أو لم يكن اتفاق التحكيم أو العقد قد أُبرم شفويا أو بواسطة تصرف أو بوسيلة أخرى. "

(b) when the arbitration agreement or the principal contract to which it relates has been transferred to a third party who invokes it or on whom it is enforced (transfer, novation, subrogation, etc…)
)ب( عند تحويل اتفاق التحكيم أو العقد الرئيسي المرفق به إلى طرف ثالث يحتج به أو يطبق عليه )التحويل، التجديد، الاستبدال، إلخ...( .

In order to provide a better formulation, it was proposed to redraft paragraph (3) of the above proposal (see above, paragraph 59) to read as follows: " an arbitration agreement is in writing if there is a record of the agreement in any form whether or not the arbitration agreement or contract has been concluded orally, by conduct, or by any other means " .
ومن أجل إيجاد صيغة أفضل، اقتُرح أن تُعاد صياغة الفقرة (3) من الاقتراح المدرج أعلاه (انظر الفقرة 59 أعلاه) لكي يصبح نصه كما يلي: " يكون اتفاق التحكيم كتابيا إذا دُوّن الاتفاق في أي شكل سواء أكان أم لم يكن اتفاق التحكيم أو العقد قد أُبرم شفويا أو بواسطة تصرّف أو بأي وسيلة أخرى " .
