If the seller is the aggrieved party, the substitute transaction is the sale to some other buyer of the goods identified to the avoided contract.

10. An aggrieved party must conclude the substitute transaction in a reasonable manner.

The seller further alleged that the buyer did not make the cover transaction in a reasonable manner, since it used two intermediary companies and did not buy directly from China, but Hong Kong.
وادّعى البائع أيضا بأن المشتري لم ينفّذ الصفقة البديلة على نحو معقول حيث إنه استخدم شركتين وسيطتين ولم يشترِ من الصين مباشرة وإنما من هونغ كونغ.

Finally, the court found that the considerable delay of the buyer had caused the seller a substantial loss and, applying art. 75 CISG, held that this latter was entitled to damages in the measure of the difference between the contract price and the price of the substitute transaction.
وأخيراً وجدت المحكمة أن التأخّر غير القصير من جانب المشتري قد سبَّب خسارة ضخمة تكبّدها البائع: وبناءً على تطبيق المادة 75 من اتفاقية الأمم المتحدة للبيع ارتأت أن هذا الأخير يحق لـه الحصول على تعويض عن الأضرار بقدر الفرق في القيمة بين ثمن العقد وثمن الصفقة البديلة.

The Tribunal thus accepted the buyer's claim for loss of price difference, reasoning that there were contracts and receipts evidencing the substitute transaction, and that the increase of the price, from the contract to the cover transaction's price, could have been foreseen by the seller.
وبالتالي قبلت هيئة التحكيم مطالبة المشتري بالتعويض عن الخسارة الناجمة عن الفرق بين السعرين، معللة أن ثمة عقودا وإيصالات مثبتة للصفقة البديلة وأنه كان يمكن أن يتوقع البائع الزيادة في السعر ما بين السعر التعاقدي وسعر الصفقة البديلة.

9. Article 75 requires that the substitute transaction be entered into " in a reasonable manner and within a reasonable time after avoidance " .

12. If the conditions for application of article 75 are satisfied, the aggrieved party may recover " the difference between the contract price and the price in the substitute transaction " .
12- إذا ما استوفيت شروط انطباق المادة 75، جاز للطرف المتضرر الحصول على " الفرق بين سعر العقد وسعر الصفقة البديلة " .

11. An aggrieved party must conclude the substitute transaction within a reasonable time after avoidance of the contract. What time is reasonable will depend on the nature of the goods and the circumstances.
11- يتعين على الطرف المتضرر أن يعقد الصفقة البديلة خلال مدة معقولة بعد فسخ العقد.() وتتوقف ماهية المادة المعقولة على طبيعة البضاعة والظروف.

The Court held that the seller was entitled to recover damages under article 74 CISG and that, pursuant to article 75 CISG, the seller could recover the difference between the contract price and the price in the substitute transaction.
وارتأت المحكمة أن البائع كان من حقه أن يتلقى تعويضا بموجب المادة 74 من الـ CISG، وأن له، وفقا للمادة 75 من الـ CISG، أن يسترد الفرق بين السعر المنصوص عليه في العقد والسعر الذي طُبِّق في الصفقة البديلة.

The judges explained that while the former is based on the price of the actual substitute transaction (a " concrete " method), the latter refers to the current price of the goods that were not delivered (an " abstract " method).
