بيد أن المحيل ليس مسؤولا تجاه المحال اليه عن الاخلال بالاقرارات اذا كان العقد الأصلي بين المحيل والمدين يتضمن تقييدا على الاحالة.

That suggestion was objected to on the ground that anti-assignment clauses might be agreed upon by the assignor and the debtor in an agreement other than the original contract.
وجرى الاعتراض على هذا الاقتراح على أساس أن شروط عدم جواز احالة الحق يمكن الاتفاق عليها بين المحيل والمدين في اتفاق غير العقد اﻷصلي .

Language along the following lines was suggested: " After notification, an agreement between the assignor and the debtor is ineffective as against the assignee unless " .
واقترحت صياغة على غرار ما يلي : " بعد الاشعار ، يكون أي اتفاق بين المحيل والمدين عديم المفعول تجاه المحال اليه الا " .

In response to a question, it was observed that the receivable was determined under the original contract between the assignor and the debtor and did not change as a result of any assignment or subsequent assignment.
وردا على تساؤل ، لوحظ أن المستحقات تتقرر بمقتضى العقد اﻷصلي بين المحيل والمدين وأنها لا تتغير نتيجة ﻷي احالة أو احالة لاحقة .

It was stated that such a rule would be in line with article 12 of the Rome Convention referring to the law which applied to the contract between the assignor and the debtor.
وقيل ان تلك القاعدة ستكون متوافقة مع المادة ٢١ من اتفاقية روما ، التي تشير الى القانون الذي يطبق على العقد المبرم بين المحيل والمدين .

1. An agreement concluded before notification of the assignment between the assignor and the debtor that affects the assignee's rights is effective as against the assignee and the assignee acquires corresponding rights.
1- أي اتفاق يبرم بين المحيل والمدين قبل الإشعار بالإحالة ويمس بحقوق المحال إليه يكون نافذ المفعول تجاه المحال إليه ويُكسِب المحال إليه حقوقا مقابلة.

The reason for this approach is that the rights of a diligent assignee should not be made subject to rights of set-off arising at any time from separate dealings between the assignor and the debtor or other events of which the assignee could not reasonably be expected to be aware.
والسبب في الأخذ بهذا النهج هو أن حقوق المحال اليه الذي يبذل ما يجب من عناية ينبغي ألا ترتهن بحقوق مقاصة تنشأ في أي وقت عن معاملات منفصلة بين المحيل والمدين أو عن حادثة أخرى لا يمكن بشكل معقول أن يتوقع من المحال اليه أن يكون على علم بها.
