130- وأُعرب عن رأي بديل مفاده أنَّ بعض الولايات القضائية تفرض على المورِّدين أو المقاولين الأطراف في الاتفاق الإطاري المشاركة في المنافسة إذا تلقّوا دعوة من الجهة المشترية للمشاركة.

5. The procurement regulations must guide the procuring entity as regards the need in some cases to conclude separate agreements with individual suppliers or contractors that are parties to the framework agreement.
5- ويجب على لوائح الاشتراء أن توجه الجهة المشترية بشأن الحاجة في بعض الحالات لإبرام اتفاقات منفصلة مع فرادى المورِّدين أو المقاولين الأطراف في الاتفاق الإطاري.

(a) The procuring entity shall issue a written invitation to present submissions simultaneously to each supplier or contractor party to the framework agreement, or only to each of those parties of the framework agreement then capable of meeting the needs of that procuring entity in the subject matter of the procurement;
(أ) تُصدر الجهة المشترية دعوة كتابية إلى تقديم العروض تُوجّه في وقت واحد إلى كل واحد من المورِّدين أو المقاولين الأطراف في الاتفاق الإطاري، أو تكتفي بإصدارها إلى الأطراف في الاتفاق الإطاري القادرين في ذلك الحين على تلبية احتياجات تلك الجهة المشترية فيما يخصّ الشيء موضوع الاشتراء؛

It was further explained that, if some suppliers or contractors parties to the framework agreement indicated to the procuring entity from the outset of the procurement proceedings their limited capacity to deliver certain parts of the subject matter of the procurement, it would be inappropriate for the procuring entity to invite them.

Under some closed framework agreements, no competition among suppliers or contractors parties to the framework agreement takes place at all: without transparent award mechanisms at the second stage, there are significantly higher risks of favouritism and corruption.

3. In the context of a multi-supplier closed framework agreement, the procurement regulations must guide the procuring entity on whether setting either a minimum or a maximum number of suppliers or contractors parties to a framework agreement or both would be appropriate and, if so, what to consider in doing so.

(d) A maximum number of suppliers or contractors parties to the framework agreement, if any, and the procedure and criteria for the selection of that maximum.

(c) An " open " framework agreement procedure, involving a framework agreement concluded with more than one supplier or contractor and involving second-stage competition between suppliers or contractors parties to the agreement.
(ج) إجراء الاتفاق الإطاري " المفتوح " الذي ينطوي على اتفاق إطاري يبرم مع أكثر من مورِّد أو مقاول واحد، ويتضمّن مرحلة تنافس ثانية بين المورِّدين أو المقاولين الأطراف في الاتفاق الإطاري.

(h) The list of suppliers or contractors parties to the framework agreement (the procurement regulations may explain that posting the list in such a way could be effective implementation of the requirement on the public notice of the award of the framework agreement, contained in article 23 (1) of the Model Law);

The procurement regulations must set out the default rule that all suppliers or contractors parties to the agreement must be presumed to be capable of meeting the needs of the procuring entity in the subject matter of the procurement unless the framework agreement or initial or indicative submissions of some suppliers or contractors provide to the contrary.

[(ii) If any maximum limit on the number of suppliers or contractors that are parties to the open framework agreement is imposed in accordance with paragraph 7 of this article, the relevant number and the criteria and procedure, in conformity with paragraph 7 of this article, that will be followed in selecting it;]

Mr. Grand d'Esnon (France) said that the simplest solution would be to use only the first part of subparagraph (4)(a) as originally drafted: " The procuring entity shall issue a written invitation to present submissions simultaneously to each supplier or contractor party to the framework agreement; " .
