دون مساس بالقانون الذي يحكم حماية المدين في المعاملات التي تُجرى لأغراض شخصية أو أسرية أو منزلية في الدولة التي يقع فيها مقر المدين، ليس من شأن تقصير المحيل في تنفيذ العقد الأصلي أن يعطي المدين حقا في أن يسترد من المحال إليه مبلغا كان المدين قد سدده الى المحيل أو المحال إليه.

Uncertainty as to the debtor's defences and rights of set-off would also make it difficult for the assignee to price the credit offered to the assignor.
كذلك فإن عدم اليقين فيما يتعلق بدفوع المدين وحقوقه في المقاصة من شأنه أن يجعل من الصعب على المحال اليه تسعير الائتمان الذي يقدمه الى المحيل.

In addition, it was observed that, if the debtor retained the possibility to discharge its debt by delivering or returning goods directly to the assignor, the rights in such goods should vest with the assignee by virtue of the assignment.
وعلاوة على ذلك ، لوحظ أنه ينبغي ، اذا احتفظ المدين بامكانية تسديد دينه عن طريق تسليم أو ارجاع السلع الى المحيل مباشرة ، أن تعود الحقوق في تلك السلع الى المحال اليه وذلك بموجب الاحالة .

It was stated that, to the extent that proceeds would include tangible assets, the existence and the extent of rights of third parties in such assets should be referred to the law of the country in which the assets were located in order to avoid frustrating the normal expectations of parties that provided financing to the assignor relying on the law of the location of those assets.
وذُكر أنه فيما يتعلق باشتمال العائدات على موجودات ملموسة، ينبغي الاستناد بشأن وجود ومدى حقوق الأطراف الثالثة في تلك الموجودات الى قانون البلد الذي توجد فيه، وذلك بغية اجتناب احباط التوقعات العادية لدى الأطراف الذين قدموا التمويل الى المحيل معولين على قانون موضع تلك الموجودات.

The purpose of article 26 is to facilitate practices in which payment of the receivable is made to the assignee or to the assignor as an agent of the assignee (e.g. undisclosed invoice discounting and securitization).
42- الغرض من المادة 26 هو تيسير الممارسات التي يتم فيها سداد المستحقات الى المحال اليه أو الى المحيل باعتباره وكيلا للمحال اليه (في حالة خصم الفواتير غير المعلن أو التسنيد مثلا).

In the case of notification, the same result could be reached through a combined application of paragraph (2) and draft article 16, paragraph (3), since the assignee could request that payment be made to the assignor.
وفي حالة الاشعار ، يمكن الوصول الى النتيجة نفسها بالجمع بين تطبيق الفقرة )٢( ومشروع الفقرة ٣ من المادة ٦١ ، نظرا ﻷن المحال اليه يمكن أن يطلب دفع المبلغ الى المحيل .

It was stated that the reference to " a sum paid by the debtor " was intended to cover not only " advance " payments but more generally any payment made by the debtor to the assignor or the assignee.
وقيل ان الاشارة الى " مبلغ يسدده المدين " لا يقصد بها فحسب تغطية المبالغ المسددة سلفا ، بل يقصد بها بوجه أعم تغطية أي مبلغ يسدده المدين الى المحيل أو المحال اليه .

The suggestion was made that in paragraph (5) reference should be made to " the assignor " and not to " the legal name of the assignor " .
١١١ - اقترح أن يشار في الفقرة )٥( الى " المحيل " لا الى " الاسم القانوني للمحيل " .

(b) If payment in respect of the assigned receivable is made to the assignor, the assignee is entitled to payment of the proceeds and also to goods returned to the assignor in respect of the assigned receivable; and
(ب) إذا جرى السداد، فيما يتعلق بالمستحق المحال، إلى المحيل ،كان للمحال إليه الحق في تقاضي العائدات وكذلك في البضائع المعادة الى المحيل فيما يتعلق بذلك المستحق المحال؛

" (2) Upon receipt of data, the registry shall assign a registration number and issue and send to the assignor and the assignee a verification statement in accordance with the regulations.
" )٢( عند تلقي البيانات ، يخصص المكتب لها رقم تسجيل ، ويصدر ثم يرسل الى المحيل والمحال اليه بيانا ثبوتيا وفقا للائحة التنظيمية .

Yet another suggestion was that the words " in return for value, credit or related services given or promised by the assignee to the assignor " should be deleted, since they related to the financing transaction and not to the assignment proper.
٨٤١ - وذهب اقتراح غير هذين الى حذف عبارة " للحصول على قيمة مالية أو ائتمان أو خدمات ذات صلة يقدمها المحال اليه أو يعد بتقديمها الى المحيل " ، ﻷن تلك العبارة تتعلق بالصفقة التمويلية لا بالاحالة في حد ذاتها .

" (2) Unless otherwise agreed between the assignor and the assignee, if payment is made to the assignor, the assignee has a right in whatever is received by that assignor.
" )٢( ما لم يتفق على خلاف ذلك بين المحيل والمحال اليه ، اذا تم السداد الى المحيل ، كان للمحال اليه الحق في كل ما يتلقاه ذلك المحيل .

With regard to the second sentence of the proposed wording, the concern was expressed that it might run counter to normal practice under which the assignee obtained payment of the full amount of the receivable and had to give account and return to the assignor or its other creditors any remaining surplus.
١٦ - وفيما يتعلق بالجملة الثانية من العبارة المقترحة ، أعرب عن قلق من أن يكون اﻷمر مخالفا للممارسة العادية التي يدفع بموجبها الى المحال اليه كامل مبلغ الدين وعليه أن يبين ويعيد الى المحيل أو دائنيه اﻵخرين أي فائض يتبقى بعد السداد .

In the discussion, the question was raised as to whether payment to the assignor with the consent of the assignee, which could take place, e.g., in the context of situations involving a prolonged retention of title, could discharge the debtor's obligation.
٧٧ - وخلال المناقشة ، طُرح سؤال بشأن ما اذا كان السداد الى المحيل بموافقة من المحال اليه ، اﻷمر الذي يمكن أن يحدث مثلا في الحالات التي تنطوي على الاحتفاظ بالسند لمدة طويلة ، يمكن أن يبرىء ذمة المدين من المسؤولية .

“(1) For the purposes of this Convention, ‘assignment’ means the transfer by agreement from one party (‘assignor’) to another party (‘assignee’) of its right to payment of a monetary sum (‘receivable’) owed by another party (‘debtor’) in return for value, credit or related services given or promised by the assignee to the assignor.
" )١( ﻷغراض هذه الاتفاقية ، تعني ' الاحالة ' أن ينقل طرف ) ' المحيل ' ( الى طرف آخر ) ' المحال اليه ' ( باتفاق حقه في الحصول على مبلغ نقدي ) ' المستحق ' ( مدين به طرف آخر ) ' المدين ' ( ، للحصول على قيمة مالية أو ائتمان أو خدمات ذات صلة يقدمها المحال اليه أو يعد بتقديمها الى المحيل .

One suggestion was that the words " to the assignor " at the end of paragraph (1) should either be deleted or be supplemented by the words " or to another person " in order to avoid excluding from the scope of the draft Convention assignments in which value, credit or related services were given or promised not to the assignor but to another person affiliated with the assignor or to whom the assignor owed a debt.
وكان أحد الاقتراحات حذف عبارة " الى المحيل " الواردة في نهاية الفقرة )١( أو تتميمها بعبارة " أو الى شخص آخر " ، تفاديا ﻷن تستبعد من نطاق مشروع الاتفاقية الاحالات التي تقدم فيها قيمة مالية أو ائتمان أو خدمات ذات صلة أو يوعد بتقديمها لا الى المحيل بل الى شخص آخر مرتبط بالمحيل أو لديه دين على المحيل .

The proposed Convention minimizes both the likelihood of commingling (by providing that the assignor or the assignee or both may notify the debtor of the assignment and request that payment be made to the assignee) and the consequences of commingling (by providing that if payment is made to the assignor, or to the assignor’s creditor or insolvency administrator, the assignee has a right in whatever is received by that person).
وتعمل الاتفاقية المقترحة على التقليل الى أدنى حد من احتمال الامتزاج )بالنص على أنه يجوز للمحيل أو المحال اليه أو كلاهما أن يخطرا المدين بالاحالة ، وأن يطلبا أن يتم التسديد الى المحال اليه( والنتائج المترتبة على الامتزاج )بالنص على أنه اذا تم التسديد الى المحيل أو الى دائن المحيل أو الى مدير الاعسار ، يكون للمحال اليه الحق في أي شيء يتلقاه ذلك الشخص( .
