The Guide takes the position that the secured creditor should retain its security right in the original encumbered asset and also a security right in the proceeds of its sale or other disposition (see A/CN.9/631, recommendations 18, 32, 40, 41 and 85). In any case, the secured creditor cannot receive more that it is owed.

In other States, the sale by a creditor (whether it is managed by a judicial officer or it is a private sale by the creditor) will only extinguish rights with a lower priority ranking than that of the enforcing secured creditor and the secured creditor with a higher priority ranking will retain its security right in the encumbered assets.

The Guide takes the position that, as a general principle, the secured creditor should retain its security right in the original encumbered asset and also a security right in the proceeds of its sale or other transfer (see recommendations 19, 31, 39, 40 and 76).

(d) Whether the agreement creating the acquisition security right is denominated as a security right, or is a retention-of-title right or a financial lease right, the acquisition secured creditor, like other secured creditors, normally has to register a notice of its security right in the general security rights registry;

Bank A then obtains a security right in the portfolio of patents and patent applications and registers a notice of its security right in the appropriate national patent registry (assuming that the applicable law provides for registration of security rights in the patents registry).

58- كما ورد من قبل (انظر الفصل الخامس، نفاذ الحق الضماني تجاه الأطراف الثالثة، الفقرات [...]؛ والفصل الرابع، إنشاء الحق الضماني، الفقرات [...])، فإن الدائن المضمون يحتفظ بحقه الضماني في الموجودات المرهونة الأصلية عند بيعها كما يحصل على حق ضماني في عائدات البيع.

It was agreed that: (a) in paragraph 25, the last two sentences should be revised to provide that a secured creditor that registered a notice of its security right in a specialized registry had a right to rely on that registration and on the priority attributed to that registration under the recommendations of the Guide; and (b) in paragraph 26, a reference should be added to online searching in intellectual property registries for free.
43- اتُفق على ما يلي: (أ) في الفقرة 25، ينبغي تنقيح الجملتين الأخيرتين لكي تنصا على أنه يحق للدائن المضمون الذي يسجل إشعاراً بحقه الضماني في سجل متخصص أن يعتمد على هذا التسجيل وعلى الأولوية المعطاة لهذا التسجيل وفقاً لتوصيات الدليل؛ و(ب) في الفقرة 26، ينبغي إضافة إشارة إلى البحث الإلكتروني المجاني في سجلات الممتلكات الفكرية.
