(a) That, in the event of serious failure by the concessionaire to perform its obligations under the project agreement, the contracting authority may temporarily take over the operation of the facility for the purpose of ensuring the effective and uninterrupted delivery of the service;
)أ( أنه ، في حالة وقوع إخلال جسيم من جانب صاحب الامتياز بالوفاء بالتزاماته بموجب اتفاق المشروع ، يجوز للهيئة المتعاقدة أن تتولى مؤقتا تشغيل المرفق ، بغرض ضمان توفير الخدمة على نحو فعﱠال ودون انقطاع ؛

(a) Compensation for the fair value of works performed under the project agreement if the project agreement is terminated for reasons attributable to the concessionaire;
)أ( التعويض عن القيمة العادلة لﻷشغال التي أنجزت بموجب اتفاق المشروع اذا أنهي اتفاق المشروع ﻷسباب تعزى الى صاحب الامتياز ؛

In the event of serious default by the contracting authority, the concessionaire may sustain considerable or even irreparable damage, depending on the time required to obtain a final decision releasing the concessionaire from its obligations under the project agreement.
وفي حالة حدوث تقصير جسيم من جانب الهيئة المتعاقدة ، قد تلحق بصاحب الامتياز أضرار كبيرة بل ربما أضرار لا يمكن اصلاحها ، وهذا يتوقف على الوقت اللازم للحصول على حكم نهائي باعفاء صاحب الامتياز من التزاماته بموجب اتفاق المشروع .

In order to assist the contracting authority in operating and maintaining the facility, the project agreement may obligate the concessionaire to submit, prior to the transfer of the facility, an operation and maintenance programme designed to keep the facility operating over its remaining lifetime at the level of efficiency required under the project agreement.
٣٥ - ولمساعدة الهيئة المتعاقدة على تشغيل وصيانة المرفق ، يجوز أن يلزم اتفاق المشروع صاحب الامتياز بأن يقدم ، قبل نقل ملكية المرفق ، برنامجا للتشغيل والصيانة مصمما بحيث يجعل المرفق في حالة تشغيل طوال الفترة المتبقية من عمره التشغيلي على مستوى الكفاءة المطلوب بموجب اتفاق المشروع .
