Under the Convention, the grantor's location is its place of business or, if the grantor has places of business in more than one State, the place where the central administration of the grantor is exercised.

In such cases, the grantor is dispossessed through the transfer of physical possession of the document or instrument to the secured creditor.

In addition, if the law of the State in which the grantor is located is not the law of the protecting State, the security right may not be effective and enforceable under the law of the protecting State.

If the grantor is the licensor, typically its secured creditor will have a security right in the licensor's right to receive royalties from the licensee as well as the right to enforce nonmonetary terms of the licence agreement and the right to terminate the licence agreement upon breach.
فإذا كان المانح هو المرخِّص، فمن المعتاد أن يكون لدائنه المضمون حق ضماني في حق المرخِّص في الحصول على إتاوات من المرخَّص لـه إضافة إلى الحق في إنفاذ الشروط غير النقدية من اتفاق الترخيص والحق في إنهاء اتفاق الترخيص عند الإخلال به.

The law should provide that the law applicable to the issues mentioned in recommendation 198 with respect to a security right in a tangible asset of a type ordinarily used in more than one State is the law of the State in which the grantor is located.
